      Minutes of the Board of Trustees of the University of Kentucky, December
11, 1962.


      The Board of Trustees of the University of Kentucky met in the Pres-
ident's Office on the campus of the University at 10:15 a.m., EST, Tuesday,
December 11, 1962, with the following members present: Governor Bert Combs,
Chairman; Dr. -Ralph J. Angelucci, Robert H. Hillenmeyer, Dr. R. W. Bushart,
Dr. H. B. Murray, Gilbert Kingsbury, Floyd H. Wright, W.F. Foster, Emerson
Beauchamp, Dr. Harry Denham, Sam Ezelle, Judge James A. Sutherland,
Aubrey Brown and Lewis Cochran: Absent, Shiith D. Broadbent, Jr., Clifford
E. Smith and Wendell P. Butler. Present also for the meeting were Dr.
Frank G. Dickey, President of the University, and Dr. Frank D. Peterson,
Secretary of the Board.


     A. Meeting Opened.

     It having been determined that a quorum was present for the transaction
of business, the Chairman called the meeting to order. Dr. Kenneth Harper,
Acting Dean of Men, opened the meeting with prayer.




     B. Minutes Approved as Published.

     Upon motion duly made, seconded and carried, the Minutes of the
meetings of the Board of Trustees of September 18, and of the Executive Com-
mittee of October 19 and November 16, 1962, were approved as published.




     C, Financial Report.

     Mr. Peterson made the following financial report for the period ended
November 30, 1962.

Dear Doctor Dickey:

I am submitting herewith the Financial Report of the University of Kentucky
for the five months ended November 30, 1962. This report contains a balance
sheet and related financial statements which present a complete financial
picture for all funds of the University.

The Current General Fund budgetary operations for the period.reflect income
realized for educational and general purposes in the amount of $ 14, 826, 536.41
or 57. 8% of the budget estimate of $ 25, 654, 285. 62. The expenditures including
encumbrances outstanding amount to $ 11, 121, 003. 58. This represents 42. 3%
of the total Current General Fund Appropriations of $ 25, 693, 929. 07.

        Members having heard the report and being advised, upon motion duly
made, seconded and carried, the report was received and ordered put to record.




        D. University of Kentucky Housing and Dining Hall Bonds of 1961, Dated
April 1, 1961--Supplement Approved.

        The Secretary reminded the members of the Board that at the Board
meeting of December 13, 1960, action was taken to authorize $1, 225,000 "Uni-
versity of Kentucky Housing and Dining Hall Bonds of 1960" to be dated as of
April 1, 1960, and that in order to secure such bonds a Trust Indenture was
authorized and thereafter duly executed with Farmers Bank & Capital Trust
Company, Frankfort, Kentucky, as Trustee, When construction bids were
opened they substantially exceeded the estimates thereof, and subsequently the
Board negotiated a "Revised Lcan Agreement' with Housing and Home Finance
Agency of the United States (HHFA) contemplating an increase of the bond issue
from $1, 225, 000 to $1, 325, 000, a change in the date of the bonds from April 1,
1960, to April 1, 1961, and re-designation of the bonds as "'University of
Kentucky Housing and Dining Hall Bonds of 1961".  It was necessary to amend
the previously executed Trust Indenture, and at the Board's meeting on Septem-
ber 19, 1961, action was taken to authorize an "Amendment to Trust Indenture"
which was thereafter executed with the Trustee and duly recorded. Bond
Counsel has now discovered that although the amount of the bond issue, the ma-
tur'ity schedule, and the redemption provisions were properly amended, never-
theless through inadvertence there was a failure to redesignate the various
special funds provided for in the original Trust Indenture as well as a failure
to increase the amounts to be paid into such funds, and the amounts of the
reserves to be accumulated and maintained therein,  There has now been tendered
a "Supplemental Trust Indenture"', prepared by Bond Counsel for the purpose
of correcting these oversights. The text of the instrument has been reviewed
and found to be in conformity with the HHFA "Revised Loan Agreement", and it
was the recommendation of the Secretary that action be taken at this time
to authorize the execution thereof with the Trustee.

        After discussion Board Member James Sutherland introduced, caused
to be read in full, and moved immediate adoption of a proposed Resolution, in
which the text of the "Supplemental Trust Indenture" was incorporated in full,
as follows:

              A RESOLUTION OF THE BOARD OF TRUSTEES OF
              THE UNIVERSITY OF KENTUCKY AUTHORIZING
              THE EXECUTION, WITH FARMERS BANK & CAPITAL
              TRUST COMPANY, AS TRUSTEE, OF A "SUPPLE-
              MENTAL TRUST INDENTURE" RELATING TO THE
              BOARD'S $1, 325, 000 "UNIVERSITY OF KENTUCKY
              HOUSING AND DINING HALL BONDS OF 1961. "



WHEREAS, it has been made to appear that the certain "Amendment

to Trust Indenture" dated May 1, 1961, authorized by a Resolution adopted by
the Board at its meeting of September 19, 1961, and relating to $1, 325, 000
"University of Kentucky Housing and Dining Hall Bonds of 1961" was incomplete,
and failed in certain respects to conformn to the terms and conditions of this
Board's "Revised Loan Agreement", identified by HHFA as its "Project No.
KY-15.-CH-36(DS) Rev"; and
