Members, Board of Trustees:

         CONTRACT WITH STEEL PRODUCTIONS, INC.

Recommendation: That the Board authorize the Vice President for
Business Affairs and Treasurer to enter into a contract with Steel
Productions, Inc., Hollywood, California for use of the Patterson
Office Tower in the production of the movie "Steel. "

Background: The state has assured Howard Berkowitz, Director of
Steel Productions, Inc. 'complete cooperation" in the filming in
Lexington of the movie "Steel.'" The two sites requested locally
are the Kinkead Towers and the roof and 18th floor of the Patterson
Office Tower. External distance shots will be filmed downtown at
the Kinkead Tower, and close up shots on the roof of the Patterson
Office Tower. This will involve temporary (removable) construc-
tion on the roof, making available the 18th floor for dressing rooms,
reserving an elevator, and allowing parking of vehicles in the area
adjacent to the Tower. These facilities are requested immediately
to begin construction of the set. Actual filming would take place in
the months of July and August (not to exceed August 27th). Contract
negotiations will not commence until the Board has taken action,
but the contract would, of course, indemnify the University against
damage or harm to property and individuals. A per diem fee for use
of the facilities and University Security would also be included. A
thorough check of the financial stability of the Company is underway,
and any final agreement would be contingent on its outcome.
Recommendation changed to read;
Recommendation: that the Board authorize the Vice President for Business
Affairs and Treasurer to enter into a contract with Steel Productions, Inc.,
Hollywood, California for use of the Patterson Office Tower in the production
of the movie "Steel". Such authorization is subject to the Vice President
for Business Affairs and Treasurer having received, in hand, proof of
liability insurance coverage in the amount of twenty million ($20, 000, 000)
dollars and an acceptable performance bond to insure performance by the
Corporation in accordance with the terms, provisions and conditions of this
memorandum of understanding. Further, that the University of Kentucky
reserves the right to stop, without notice, all activity if any of the terms
of the contract are violated.
