ARTICLE III: Hospital Director



    SECTION 1. Appointment of the Hospital Director. The Hospital Director shall be
appointed by the Board of Trustees upon the recommendation of the President with the advice
of the Vice-President for the Medical Center and the Dean of the College of Medicine in accordance
with established University procedures, except that such recommendations shall be submitted to
the Council of Supervisors for its review and recommendation prior to submission.


     SECTION 2. Duties of the Hospital Director. The Hospital Director shall be the chief
executive officer of the Hospital and shall possess the necessary authority and responsibility for
the operation of the Hospital in all its activities and departments. The Hospital Director shall

be accountable to the Vice President for the Medical Center for the overall operation of the
Hospital and to the Dean of the College of Medicine for the coordination of all academic and

patient care programs in accordance with the established policies. The Hospital Director may

act as the duly authorized representative of the Supervisors in all matters in which Supervisors
have not formally. designated some other person. The Hospital Director shall. also perform the

duties of the Secretary of the Council of Supervisors, assist the Chairman in developing an agenda
for each meeting; keep records of the minutes of the meetings of the Supervisors and furnish

timely copies of such minutes to each Supervisor, to the President of the University of Kentucky,

and insure that copies of all minutes of the Supervisors and its committees are deposited promptly
with the Secretary of the Board of Trustees. The Secretary shall regularly advise the Vice President

of the Medical Center of the activities and actions of the Supervisors. As Secretary, the Hospital
Director shall be custodian of, and shall faithfully keep all records, books, documents and other

valuable papers relating to the Hospital. The Hospital Director shall be responsible for giving

all meeting notices and attending to all correspondence which may be ordered by the Supervisors.


     SECTION 3. Hospital Director Unable to Act. In the event that the Hospital Director is

unable to perform the functions of the office, the President with the advice of the Vice-President

for the Medical Center and the Dean of the College of Medicine may designate an acting Hospital

Director until such time as a permanent Hospital Director may be recommended.
