    Minutes of the Meeting of the Executive Committee of the
Board of Trustees of the University of Kentucky, Tuesday, August
10, 1982.



    The Executive Committee of the Board of Trustees of the
University of Kentucky met at 2 p.m. (Eastern Daylight Time) on
Tuesday, August 10, 1982 in the Board Room on the 18th floor of
the Patterson Office Tower on the Lexington Campus.

    A.   Meeting Opened and Roll Called

    Mr. William B. Sturgill, Chairman, called the meeting to
order at 2 p.m. and the invocation was pronounced by Professor
Constance P. Wilson.

    The following members of the Executive Committee of the Board
of Trustees answered the call of the roll: Mr. William B.
Sturgill, Chairman, Mr. William R. Black, Mr. Albert G. Clay, Mr,
A. Stevens Miles, and Mrs. Betty Pace Clark, ex officio Secretary
of the Executive Committee.   Governor Edward T. Breathitt was
absent from the meeting. Members of the Board of Trustees
attending the meeting were Governor Albert Benjamin Chandler,
Professor Opal Skaggs Conley, Mr. Tracy Farmer, Mr. R. Larry
Jones, and Professor Constance P. Wilson. The University
administration was represented by President Otis A. Singletary;
Dr. Dcnald B. Clapp, Vice President for Administration;
Chancellors Peter P. Bosomworth, Art Gallaher, and Charles T.
Wethington; Dr. Raymond R. Hornback, Vice President for
University Relations; Mr. John C. Darsie, General Counsel; Mr.
Henry Clay Owen, Controller and Treasurer; Mr. David I. Carter,
Special Assistant for Business and Finance; Dr. Paul G. Sears,
Special Assistant for Academic Affairs; and Dr. Wimberly C.
Royster, Dean of the Graduate School and Coordinator of Research.
Members of the various news media were also in attendance. The
Secretary reported a quorum present, and the Chairman declared
the meeting officially open for the conduct of business at 2:02
p.m.

    B.   Minutes Approved

    The Minutes of the June 22, 1982 meeting of the Board of
Trustees and the Minutes of the July 12, 1982 Special Called
Meeting of the Executive Committee of the Board of Trustees were
approved as published.

    C.   President's Report to the Trustees (PR 1)

    President Singletary called attention to his monthly report
to the Trustees, copies of which had been distributed earlier,
and recommended its acceptance. Without objection, it was so
ordered.

    D.   Personnel Actions (PR 2)

    Prior to his recommendation that the appointments and staff
changes in PR 2 be approved, President Singletary called
attention to the following administrative appointments: the
appointment of Mr. David I. Carter as Special Assistant for
Business and Finance; the appointment of Mr. C. Leslie Dawson as
Director of Management and Organizational Analysis; and the
appointment of Professor Donald C. Leigh as Acting Dean, College
of Engineering. He also called attention to the naming of four
Law Alumni Professors for the 1982-83 academic year: Professors
Rutheford B. Campbell, Alvin L. Goldman, Willburt D. Ham, and
Robert G. Lawson. Mr. Carter and Mr. Dawson, who were present at
the meeting, were introduced.

    On motion by Mr. Black, seconded by Mr. Clay and passed, the
appointments and staff changes as recommended in PR 2 were
approved. (See PR 2 at the end of the Minutes.)

    E.   Supplemental Recommendations of the President (PR 3A)

    President Singletary indicated his pleasure in recommending
the appointment of Dr. Layten L. Davis as Director of the Tobacco
and Health Research Institute, effective August 10, 1982. He
then called on Chancellor Gallaher who reviewed Dr. Davis's
experience and credentials, and said that he was pleased to
endorse President Singletary's recommendation that Dr. Davis, who
has been serving as Acting Director of the Institute, be
appoiated Director.

    On motion by Mr. Clay, seconded by Mr. Miles and passed, Dr.
Layten L. Davis was appointed Director of the Tobacco and Health
Research Institute, effective August 10, 1982. (See PR 3A at the
end of the Minutes.)

    F.   Approval of Degree Candidates, Lexington Campus and
Medical Center (PR 3B)

    Without discussion, Mr. Miles moved that the President be
authorized to confer upon each individual whose name was listed
in PR 3B the correct degree to which he or she is entitled. His
motion was seconded by Mr. Black and passed without dissent.

    G.   1982-83 Budget Revisions (PR 3C)

    On motion by Mr. Black, seconded by Mr. Clay and passed, the
budget revisions as recommended in PR 3C were authorized and
approved. (See PR 3C at the end of the Minutes.)

    H.   Appointment to University of Kentucky/Business
Partnership Foundation (PR 3D)

    With President Singletary so recommending, on motion by Mr.
Clay, seconded by Mr. Black and passed unanimously, Mr. William
duPont III was appointed a public-at-large member of the Board of
Directors of the University of Kentucky/Business Partnership
Foundation for a term ending December 31, 1985. (See PR 3D at
the end of the Minutes.)

    I.   Report on Gifts and/or Grants (PR 3E)

    The report on gifts and/or grants covering the period from
April 1, 1982 through June 30, 1982 was accepted and ordered made
a matter of record as recommended in PR 3E. (See PR 3E at the
end of the Minutes).

    J.   Patent Assignment (PR 5A)

    President Singletary recommended approval of the routine
patent assignment as presented in PR 5A. On motion by Mr. Black,
seconded by Mr. Clay and carried, PR 5A was approved. (See PR 5A
at the end of the Minutes.)

    K.   Designation of New Departmental Affiliations of Business
Administration Faculty of the College of Business and Economics
(PR 5B)

    On motion by Mr. Clay, seconded by Mr. Black and passed
unanimously, the faculty of the Department of Business
Administration, College of Business and Economics, were assigned
to the new departments of Finance, Management and Marketing as
recommended in PR 5B. (See PR 5B at the end of the Minutes.)

    L.   Nominating Committee Appointed

    Mr. Sturgill named Mr, William Black, Professor Opal Conley,
and Mr. Frank Ramsey, with Mr. Black as Chairman, as a nominating
committee to prepare a slate of officers of the Board and members
of the Executive Committee to be presented at the September 21,
1982 meeting of the Board of Trustees.

    M.   Grant of Easement to Kentucky Utilities Company (FCR 1)

    Mr. Clay, Chairman of the Finance Committee, moved that the
Chairman of the Board of Trustees be authorized and directed to
execute a Deed of Easement to Kentucky Utilities Company for the
relocation of certain overhead electric power lines on the
Henderson Community College property, and that the Vice
Chancellor for Administration be authorized and directed to
finalize the transaction in accordance with applicable laws and
regulation. Mr. Clay's motion was seconded by Mr. Black and
passed without dissent. (See FCR 1 at the end of the Minutes.)




 











    N.   Acceptance of Audit for the University of Kentucky
Credit Union (FCR 2)

    On motion by Mr. Clay, seconded by Mr. Black and passed
unanimously, the Board of Trustees accepted the audited financial
statement of the University of Kentucky Credit Union for the
eighteen month period ended December 31, 1982. (See FCR 2 at the
end of the Minutes.)

    0.   Transfer of Funds to the University of Kentucky/Business
Partnership Foundation, Inc. (FCR 3)

    Mr. Clay moved that the Board of Trustees approve the
transfer of funds as listed in FCR 3 to a fund group designated
for the University of Kentucky/Business Partnership Foundation,
Inc. His motion was seconded by Mr. Miles and passed without
dissent. (See FCR 3 at the end of the Minutes.)

    P.   Sale of Henderson Property to Kentucky Department of
Transportation (FCR 4)

    Mr. Clay moved that the Chairman of the Board of Trustees be
authorized and directed to execute a Right of Entry and Property
Transfer Agreement with the Commonwealth of Kentucky, Department
of Transportation, concerning approximately 9.1 acres of
Henderson Community College property as recommended in FCR 4.
Mr. Clay's motion was seconded by Mr. Black and passed
unanimously. (See FCR 4 at the end of the Minutes.)

    Q.   Meeting Adjourned

    There being no further business to come before the Board, the
Chairman declared the meeting officially adjourned at 2:25 p.m.
