       Minutes of the Meeting of the Board of Trustees of the University of
Kentucky, Tuesday, May 5, 1987.


       The Board of Trustees of the University of Kentucky met at 3 p.m.
(Eastern Daylight Time) on Tuesday, May 5, 1987 in the Auditorium on the
campus of Ashland Community College, Ashland, Kentucky.

       A.    Meeting Opened and Roll Called

       Mr. Robert T. McCowan, Chairman, called the meeting to order at 3:17
p.m. (Eastern Daylight Time), and the invocation was pronounced by Mr. T.
A. Lassetter.

       The following members of the Board of Trustees answered the call of
the roll: Mr. Robert T. McCowan (Chairman), Mr. Ted B. Bates, Professor
Raymond F. Betts, Mr. Albert G. Clay, Professor David R. Driscoll, Jr., Mr.
Tracy Farmer, Mrs. Edythe Jones Hayes, Mr. Henry E. Hershey, Senator Walter
D. Huddleston, Mr. T. A. Lassetter, Dr. Nicholas J. Pisacano, Mr. James L.
Rose, Mr. Jerome A. Stricker, Judge Julia K. Tackett, and Professor
Constance P. Wilson. Absent from the meeting were Governor Albert B.
Chandler, Mr. Lawrence E. Forgy, Jr., Mr. Ronald G. -Geary, Ms. Donna G.
Greenwell, Mr. George W. Griffin, Mr. Brereton C. Jones, Mr. R. Larry
Jones, Mr. Frank Ramsey, Mr. Bobby Watson, and Mr. Billy B. Wilcoxson. The
University administration was represented by President Otis A. Singletary;
Mr. Edward A. Carter, Acting Vice President for Administration; Chancellors
Peter P. Bosomworth, Art Gallaher and Charles T. Wethington; Dr. Raymond R.
Hornback, Vice President for University Relations; Mr. John C. Darsie,
General Counsel; Mr. Henry Clay Owen, Controller and Treasurer; and Dr.
Paul G. Sears, Special Assistant for Academic Affairs.

       Members of the various news media were also in attendance. A quorum
being present, the Chairman declared the meeting officially open for the
conduct of business at 3:22 p.m.

       B. Meeting Dates Established

       President Singletary called attention to the schedule of meeting
dates for the Board of Trustees as established for fiscal year 1987-88 and
requested the members to mark their calendars accordingly. (See copy at
the end of the Minutes.)

       C. Dr. Goodpaster Recognized

       Mr. McCowan welcomed the Trustees on behalf of the Ashland area and
Eastern Kentucky, and reminded them of the reception honoring President and
Mrs. Singletary at 6 p.m. in the Ashland Oil Petroleum Building. He then
recognized Dr. Robert Goodpaster, Director of the Ashland Community
College, and thanked him and his staff for their hospitality in hosting the
meeting. Dr. Goodpaster was given a round of applause.

       0.   Minutes Approved

       On motion made by Senator Huddleston, seconded by Mrs. Hayes and
passed, the Minutes of the April 7, 1987 meeting of the Board of Trustees
were approved as written.

       E.   President's Report to the Trustees (PR 1)

       President Singletary called attention to his monthly report to the
Trustees, copies of which were distributed earlier, and recommended that it
be read at their convenience. He reminded the Trustees of the commencement
ceremonies at 4 p.m. on Saturday, May 9.

       F. Personnel Actions (PR 2)

       In recommending approval of the appointments and staff changes in PR
2, President Singletary called attention to the retirement of Dr. Robert L.
Goodpaster who will be retiring July 1, 1987, after 26 years of service,
and expressed appreciation for his significant contributions to the
University. Chancellor Wethington reflected on Dr. Goodpaster's excellent
leadership of the Ashland Community College, following which he was given
another round of applause. Mr. McCowan commended Dr. and Mrs. Goodpaster
for their key role in the community and with the Ashland Community College.

       President Singletary also called attention to the retirement,
effective June 30, 1987, of his assistant, Evelyn Foster.   He stated that
Ms. Foster has been a good, loyal, competent employee of the University,
and called her his good right arm. He expressed his appreciation for her
many contributions to the University and for her service to the Board of
Trustees. She was asked to stand and be recognized, following which she
was given a round of applause.

       On motion made by Mr. Stricker, seconded by Mrs. Hayes and carried,
the appointments and staff changes recommended in PR 2 were approved. (See
PR 2 at the end of the Minutes.)

       G.    Supplemental Recommendations of the President (PR 3A)

       There were no supplemental recommendations.

       H. Proposed Amendments to the Governing Regulations (PR 3B)

       Mr. Clay moved that the proposed amendments to the Governing
Regulations in PR 3B be received for preliminary consideration and included
on the agenda for action at the next regular meeting of the Board. The
motion, seconded by Mr. Farmer, carried. (See PR 3B at the end of the
Minutes.)

        I. Proposed Amendment in the University of Kentucky Retirement Plan
 (PR 3C)

        On motion made by Judge Tackett, seconded by Professor Driscoll and
carried, the proposed amendment in the University of Kentucky Retirement
Plan as recommended in PR 3C was approved.   (See PR 3C at the end of the
Minutes.)

      J. Candidates for Degrees - Lexington Campus and Medical Center (PR
3D) and Candidates for Degrees - Community College System (PR 4A)

      President Singletary recommended that PR's 3D and 4A, regarding
candidates for degrees, be considered together. On motion by Mr. Stricker,
seconded by Professor Betts and passed, the recommendations for degree
candidates in the University System and the Community College System as
presented in PR's 3D and 4A were approved unanimously. (See PR's 3D and 4A
at the end of the Minutes.)

       K. Naming of University Room (PR SA)

       With President Singletary so recommending, Mrs. Hayes moved that the
Board approve the name BRECKINRIDGE KENTUCKIANA ROOM for Room 216 of the
Margaret I. King Library South. The motion was seconded by Senator
Huddleston and unanimously carried. (See PR 5A at the end of the Minutes.)

       L. Ben F. Roach Cancer Care Facility (PR 6A)

       President Singletary indicated his pleasure in recommending that the
Board approve the name BEN F. ROACH CANCER CARE FACILITY for the cancer
patient care facility at the Lucille Parker Markey Cancer Center. He
reviewed Dr. Roach's exemplary service to the Chandler Medical Center, the
McDowell Cancer Network and the McDowell Cancer Research Foundation. He
pointed out that Dr. Roach was instrumental to the success of the fund
raising efforts for the Lucille Parker Markey Cancer Center. He noted that
Dr. Roach is currently pursuing the goal of raising the remaining funds
needed to complete the last of the three buildings which will comprise the
Center. The motion, made by Mr. Bates and seconded by Mr. Clay, carried
unanimously. Dr. Roach, who was present at the meetings was asked to stand
and be recognized, following which he was given a round of applause. (See
PR 6A at the end of the Minutes.)

       M. Appointments to University Hospital of the Albert B. Chandler
Medical Center, Inc. Board of Directors (PR 6B)

       President Singletary recommended that approval be given to the
appointments of Lawrence E. Forgy, Jr., Henry E. Hershey, Nicholas J.
Pisacano, James L. Rose, and Julia K. Tackett as members of the Board of
Directors of the University Hospital of the Albert B. Chandler Medical
Center, Inc. for terms to expire on June 30, 1988. The motion, which was
made by Mr. Bates and seconded by Professor Wilson, carried. (See PR 6B at
the end of the Minutes.)

       M. Acceptance of Interim Financial Report for the University of
Kentucky for the Nine Months Ended March 31, 1987 (FCR 1)

       Mr. Clay announced that Mr. Forgy, Chairman of the Finance
Committee, sent his regrets that he was unable to attend the meeting
today. Mr. Clay then reported that the Committee met at 2 p.m. and
reviewed the eleven items to be presented for action. He recommended and
moved that the Board accept the University of Kentucky consolidated
financial report for the nine months ended March 31, 1987. The motion was
seconded by Mr. Bates, and it was so ordered, (See FCR 1 at the end of the
Minutes.)

       0. Capital Construction Report (FCR 2)

       Mr. Clay moved that the Capital Construction Report for the nine
months ending March 31, 1987, be accepted. His motion was seconded by Mr.
Farmer, and it was so ordered. (See FCR 2 at the end of the Minutes.)

       P. Designation of Depository Bank (FCR 3)

       With the concurrence of the Finance Committee, Mr. Clay recommended
that the Board of Trustees designate each of the banks listed in FCR 3 to
serve as a depository bank for the University of Kentucky and/or its
affiliated corporations. The motion was seconded by Mr. Rose and passed
without dissent. (See FCR 3 at the end of the Minutes.)

       Q. Use of Fraternity Reserve (FCR 4)

       The Finance Committee so recommending, Mr. Clay moved that the Vice
Chancellor for Administration be authorized and directed by the Board of
Trustees to request the Trustee of University of Kentucky Student Housing
Bonds of 1964 to make available the sum of $15,367 for the purpose of major
improvements to meet the fire code as directed by the University's Fire
Safety Officer for the Phi Kappa Tau Fraternity House located at 687
Woodland Avenue. The motion, which was seconded by Professor Wilson,
carried. (See FCR 4 at the end of the Minutes.)

       R. Resolution to Prepay Housing Bonds of 1960 and Housing Bonds of
1964 (FCR 5)

       On motion made by Mr. Clay, seconded by Judge Tackett and passed,
the Board authorized prepayment of the outstanding principal of the Housing
Bonds of 1960 and the Housing Bonds of 1964 currently held by the United
States Department of Education. (See FCR 5 at the end of the Minutes.)

       S. Resolution to Prepay College Housing and Academic Facilities
Loans (FCR 6)

       Acting on recommendation of the Finance Committee, Mr. Clay moved
that the Board approve the Resolution in FCR 6 authorizing the State
Property and Buildings Commission to act on behalf of the University of
Kentucky to refinance bonds currently held by the United States Department
of Education. The motion was seconded by Mr. Lassetter and unanimously
carried. (See FCR 6 at the end of the Minutes.)


       T. Resolution Authorizing the Treasurer to Have the Portions of the
University of Kentucky Consolidated Educational Buildings Revenue Bonds,
Series G, H, and I, Which Have Been Refunded, Rated Aaa by Moody's (FCR 7)

       Mr. Clay moved that the Board authorize the Treasurer, in
cooperation with the Office for Investment and Debt Management and the
Financial Advisor, to arrange for the necessary documentation required to
secure an "Aaa" Moody's rating for the callable bonds of the University of
Kentucky Consolidated Educational Buildings Revenue Bonds, Series G, H, and
I, which have been refunded. His motion was seconded by Mr. Lassetter and
passed without dissent. (See FCR 7 at the end of the Minutes.)

       U. Professor Willburt D. Ham Endowment Funds (FCR 8)

       Mr. Clay moved, and Professor Wilson seconded, that the Board of
Trustees establish in the College of Law the Professor Willburt D. Ham
Endowment Fund at a sum of no less than $100,000 which shall be funded from
multiple gifts to the College specifically for this endowment, or from
gifts designated for general use by the College which this resolution
authorizes the Dean to quasi-endow as funds are received. The motion
carried without dissent. (See FCR 8 at the end of the Minutes.)

       V. Room and Board Rates 1987-88 School Year (FCR 9)

       On motion made by Mr. Clay, seconded by Mr. Rose and passed, the
room and board rates for the 1987-88 school year were adjusted as
recommended in FCR 9. (See FCR 9 at the end of the Minutes.)

       W. Grant of Gas Line Easement Across Coldstream Farm (FCR 10)

       Mr. Clay moved, and Mrs. Hayes seconded, that the Board authorize
the Vice Chancellor for Administration, Lexington Campus, to negotiate,
execute and deliver an Easement and Right-of-Way to Columbia Gas of
Kentucky, Inc. over a portion of Coldstream Farm. The motion carried
unanimously. (See FCR 10 at the end of the Minutes.)

       X. Sale of the South Farm (FCR 11)

       With the concurrence of the Finance Committee, Mr. Clay moved that
the sale of the South Farm as recommended in FCR 11 be approved. The
motion, which was seconded by Professor Betts, passed without dissent.
(See FCR 11 at the end of the Minutes.)

       Y.    Meeting Adjourned

       Mr. McCowan informed the Trustees that Dr. Goodpaster would be
conducting a tour of the College immediately following the Board meeting.

       There being no further business to come before the Board, the
Chairman adjourned the meeting at 3:50 p.m. (Eastern Daylight Time).
