Board or the Trustee shall be deemed to have been sufficiently given or filed
for all purposes of this Resolution if and when sent by registered mail, return
receipt requested:

           (a)  if to the Board:




           (b)  if to the Trustee:




           Any  such   notice,   demand,   direction   or  request   may   also   be
transmitted to the appropriate above-mentioned party by telex, telegram or
telephone and shall be deemed to be properly given or made at the time of such
transmission if, and only if, such transmission of notice shall be confirmed in
writing sent as specified above.

           Any of such addresses may be changed at any time upon written notice
of such change being sent by United States registered mail, postage prepaid, to
each of the other named parties by the party effecting the change.

           If, because of the temporary or permanent suspension of publication
of any newspaper, financial journal or suspension of the mails or for any other
reason, the Board, the Trustee or any other party shall be unable to give any
notice required to be published or mailed by the provisions of this Resolution,
the Board, the Trustee or such other party, as the case may be, shall give such
notice in such other manner as in its judgment shall most effectively
approximate such publication thereof, and the giving of such notice in such
manner shall for all purposes of this Resolution be deemed to be compliance
with the requirement for the publication thereof.

           Section 9.07. Severability.

           If any one or more of the covenants or agreements provided in the
Resolution on the part of the Board or of the Trustee or any Paying Agent to be
performed shall be determined by a court of competent jurisdiction to be
contrary to law, then such covenant or covenants, agreement or agreements shall
be deemed severable from the remaining covenants and agreements herein con-
tained, and the invalidity thereof shall in no way affect the validity of the
other provisions of the Resolution.

            Section 9.08. Applicable Law.

            The Resolution shall be governed by and construed in accordance with
the laws of the Commonwealth.
