We expect to paint the exterior of most all houses in the town
of Wheelwright this Spring and Summer. I am attaching hereto
a copy of the contract which we have drawn up to cover such
work, and I suggest you read carefully all provisions therein
before submitting a bid.
If you are interested in bidding on this work in accordance
with the terms and conditions of the attached contract, please
notify me in writing stating the price per square yard at which
yea will perform the work for each one-coat and two-coat work.
All of the houses, except a few vacant ones, shall have one
brush coat of paint, all white, except the window sashes, screens,
and screen doors where we will use the same colors, if available,
that were used the last painting period.
We will call upon the Contractor to paint the trim on several
administration buildings, and we may possibly want to paint
certain Mine buildings. In addition, there may be some interior
painting.
On all of this work, the owner will furnish the paint and other
materials needed except paint brushes, drop clothes, scaffolds
or ladders, and work will be paid for on the basis of actual
cost of labor, which will include only one foreman, plus a fixed
percentage to be agreed upon.
If you are the successful bidder, we will agree on a percentage
figure that is mutually satisfactory to cover all force account
work.

THIS AGREEMENT, made and entered into this day of
, 1961», by and between the INLAND STEEL
COMPANY, of wheelwright, Kentucky, party of the first part and
hereinafter designated as the OWNER, and

party of the second part and hereinafter designated as the CON-
TRACTOR.
WITNESSETH:
In consideration of the payments hereinafter to be made by
the OWNER to the CONTRACTOR, the CONTRACTOR covenants and agrees
to furnish the labor and equipment to perform the work outlined
herein in a substantial and workmanlike manner and in conformity
with the best practices of the painting trade and in accordance
with the following terms and conditions:
1) The work to be done under this agreement shall consist
of painting by the CONTRACTOR of such buildings and structures or
such parts thereof as the OWNER shall elect. The amount of work
to be done or the yardage to be covered shall aggregate approxi-
mately 130,000 square yards, more or less, at Wheelwright, Kentucky.
2) The CONTRACTOR shall commence the work immediately upon
receipt of written notice from the OWNER and shall diligently
proceed with and fully complete same on or before the '%5 day of

3) The work herein provided shall be done to the entire .
satisfaction of the OWNER or his authorized representative, and '
- shall be subject to his inspection and final approval. The repre-
sentative of the OWNER shall have the right at all times to inspect
the work during its progress, and have full authority to make rul-
ings as to whether or not this work is being executed correctly and
in accordance with the terms and conditions of this agreement.

 h) The OWNER'S authorized representative shall have the i

right to step any painting if, in his Judgment, the weather is
. unsuitable, or if for any reason the work is not being performed
in accordance with this agreement.

5) The CONTRACTOR shall remove all loose dirt, loose paint,
scales, ct cetern, using scraper, steel brush, stiff broom or
such other type of tool, on all surfaces where necessary before
applying any paint to any houses, and other buildings or struc-
tures. He shall also see that all nail holes and cracks are
filled with paint to prevent water from working into the wood.

On all houses or other wood buildings having areas where

, previously applied paint has chipped, peeled, scaled or blistered,
the surfaces of such area shall be thoroughly scraped and cleaned.

All areas referred to in the above two paragraphs, or any
other areas or spots of exposed wood, are to be primed before the

I finished coats of paint are applied.

6) The CONTEACTOR shall be responsible for mixing all paint
in strict accordance with the paint manufacturer's instructions
and shall not deviate therefrom without yermission of the OWNER.

7) The CONTRACTOR shall apply one coat of paint-fall

surfaces unless instructed in writing by the OWNER or his author-
ized representative that two coats are desired.

8) All surfaces must be perfectly dry before any paint is
applied. No painting is to be done over frosty surfaces or when
temperature is below 50 degrees Fahrenheit.

9) The CONTRACTOR will provide experienced and competent
painters, and he will give his personal attention to the super-
vision and direction of the work done under this agreement.

The CONTRACTOR will not retain in his employ any individual '
who shall appear to be incompetent or who shall act in a dis-
orderly or improper manner in carrying on work under this con-
tract.

 10) The CONTRACTOR shall have the right to hire and discharge
all labor under this agreement without interference on the part of
the OWNER.
11) The OWNER shall, in advance of the work, furnish the CON-
TRACTOR a map and schedule showing the buildings and structures to
he pointed and the color combination to he used on each building,
the OWNER reserving the right to change any color combination by
giving the CONTRACTOR sufficient advance notice.
12) After the completion of the work, the CONTRACTOR shell re-
move all temporary false work or structures built by him and any
surplus material of any kind from the site of the work and leave the
. premises in first-class and neat condition. If, in the performance
of any of the work under this agreement, it becomes necessary to
remove vhms, foliage or other obstructions, the CONTRACTOR shell
. do so at his own expense and shall replace some properly preserved
upon completion.
13) The CONTRACTOR shall not assign this agreement, in whole
or in part, or sub-contract any of the work to he done under this I
agreement, or any part thereof, without the consent in writing of _
the OWNER.
lb) If the work under this contract is abandoned, or if at any
time the CHEER shall he of the opinion that the work is unnecessari-
ly or unreasonably delayed, or the CONTRACTOR is willfully violating .
any of the conditions of this agreement or is not prosecuting the
work in good faith, the OWNER shall have the right to notify the
CONTRACTOR in writing to discontinue all work or any part thereof
remaining uncompleted; and thereupon the CONTRACTOR shall immediately
discontinue said work or any part thereof as directed by the OWNER,
and the OWNER shall thereupon have the right to contract with other
parties for the completion of all work discontinued in this manner.

 However, this provision shall not apply in the event the CONTRACTOR
is delayed or otherwise affected in the completion of this work by
reason of strikes, lockouts or other causes beyond his control. In
the event this agreement is terminated by the OWNER in the manner
set forth above, the CONTRACTOR shall only be paid for work actually
completed in place at the time of such termination.

15) The OWNER shall insure all labor under the provisions of

1 the Kentucky Workmen's Compensation Act and the CONTRACTOR shall
require all persons employed by him in said work to accept said act
before they engage in said employment or perform any work for the
CONTRACTOR; and failure on the part of the CONTRACTOR to strictly
comply with the provisions of this clause of this agreement shall
automatically terminate, annul and forfeit said agreement at the
option of the OWNER.

16) The CONTRACTOR shall contemporaneously with the execution
of this agreement and before any work whatsoever has been done in
connection therewith, furnish evidence of public liability insurance
with limits of $20/50,000, this is to say, in case of any one acci-
dent resulting in bodily ingury or death of one person, the limit
of liability is $20,000, and in case of any one accident resulting
in bodily injury or death to more than one person, the limit of
liability is $50,000. This insurance coverage shall be acceptable
to the OWNER, and this agreement shall not be binding on the OWNER
until the said insurance has been made effective and approved by
the OWNER.

17) The CONTRACTOR shall exercise every precaution to avoid
damage to OWNER'S property such as damage to save troughs, cor-
nices, screens, telephone cable, et cetera.

The CONTRACTOR will exercise precaution to prevent undue
spilling, spattering and dripping of paint on floors, underpinning,
windows, plants and other surfaces and will remove any such paint

 at his expense. He will protect tenant's property from damage anfi
staining with paint and will assume all responsibility for such
damage and staining that may occur.

16) The CONTRACTOR shall keep an accurate record of the time
of all labor employed under this contract and shall pay the proper
collectors when and as same become due and payable, all taxes, both
State and Federal, that may be levied or become payable in any man-
ner by reason of the execution of this contract, including but not
limited to Social Security and Unemployment Compensation. This
record shall be subject at all times to the inspection and check by
a representative of the OWNER.

19) The CONTRACTOR will replace all missing window panes and
panes broken to the extent of having part of pane missing.

Where putty is loose or missing, CONTRACTOR will replace with
glazing compound, first removing all loose putty. Glazing compound

. must he applied with a putty knife in a workmanlike and neat manner. V

CONTRACTOR will furnish at his expense the necessary tools
and competent lahor to perform the requirements of this section.

OWNER will furnish necessary glass and glazing compound.

20) The OWNER will furnish without cost to the CONTRACTOR
all paint, linseed oil and thinner, also all glass and glazing
compound, delivered to a central location within the general area
of the buildings to be paintea so that it will be accessible to the
CONTRACTOR.

CONTRACTOR will exercise caution to avoid undue loss or wast—
age of materials furnished him by OWNER.

The CONTRACTOR is to furnish all other materials and equipment,
including paint brushes, scaffolding, ladeers, scrapers, et cetera,
at his own expense.

21) A representative of the OWNER shall prepare all estimates
of work on which payments are to be made.

Measurements for all wall areas to be paid for on a yardage
basis shall be made as though surfaces are completely flat and
solid with no allowance for projecting edges of boards and recess-
ing at doors and windows. Nor will any deductions be made for
windows or other well openings.

Porch balnstrades will be measured from the floor up one
side, over top of rail and down the other side to the floor again,
this multiplied by the length and by 1.5 for a 50 per cent allow-
ance because of open construction. An allowance of 50 per cent
will likewise be made on any other type of open construction areas.

Window screens, which are the property of the OWNER, will be
removed by COHTRACTOR, painted on both sides and replaced when dry.
They must be handled carefully to avoid damage. Measurements flr
screens will be entered at twice the area of one side of screen
multiplied by l.5 as a 50 per cent allowance for handling.

' Framed porch screens that are not removed will be measured
as a solid area both sides with no additional allowance. when
screens are not framed, porch measurements will be made without
regard for screens.

Porch posts and vent pines will be measured for actual sur«
face are; only.

22) The price to be paid to the CONTRACTOR for one-coat work
shall bCLl73L§2£L7mcent3 per square yard and for two-coat work the

The prices mentioned in the foregoing paragraph are intended
to cover noynent for all of the work to be performed by the CON—
TRACTOR under this agreement, except as stated in paragraph 23.

23) Payment for all work covered by this agreement shall be
made as follows: on the first day of each month during the con—
tinuance of the work, an estimate will be made by representatives
of the QUEER and the COKTRACTOR. This estimate shall cover the

value of all work done during the preceding month, and on or be-
fore the 15th day of said month, eighty-five (85) per cent of the
amount of said estimate shall be paid the CONTRACTOR by the OWNER,
the remaining fifteen (15) per cent to be held in reserve by the
OWNER pending completion and final acceptance of the work under
this agreement. The CONTRACTOR shall not be entitled to receive
the final payment on the work until same has been fully completed
to the entire satisfaction of the OWNER and until the CONTRACTOR
has submitted sufficient evidence that he has paid all bills and
charges for materials furnished and labor yerformed under this agree-
ment.

THIS AGREEMENT IS EXECUTED IN DUPLICATE, one copy thereof be-
ing retained by the OWNER and the other copy thereof by the CON—
TRACTOR, each of which shall be deemed for all purposes the original

. thereof.

IN WITNESS WHEREOF, said party of the first part, as OWNER,
has caused its corporate name to be signed hereto by its duly
authorized officer or agent, and likewise said party of the second
part, as CONTRACTOR, has hereunto subscribed his name, all as of
the day and year first hereinabove written.
