and save harmless the University. the Board of Trustees ncf the

University including the individual members thereof. offticrs,

agents and employees of the University by reason of any action
at law or equity or by reason of any administrative proceeedinfg

initiated by any person arising, out of any such emnloymneot action

or practice of Foundation, including the payment of attorney fees

and other costs of such action or proceeding.

Section 10. USE OF UNIVE3SITY PACILITIES

          The parties recognize that paragraphs III, B. 4. h, d.

g and i of the "geographic full-time plan" adopted by Univcrsity's

Board of Trustees on June 20, 1978 require  that institutional

control be maintained with respect to direction and supervision

of institutional activities and programs. assignment anti use of

and their component activities.

          Accordingly, Foundation and University agree thnt Uni-

versity will provide Ambulatory Floors 2. 3, 4 and 5 of University

Hospital, together with the Ophthalmolopy Clinic, the rnmil,'

Practice Clinic and the Emergency Room (exclusive of fculty

offices and classroom snace contained therein) and other siace

officially designated for the conduct of the patient care oneration

           With respect to Any other facilities which University

may from time to time provide to Foundation, Foundation shall be

deemed a licensee without any property right whatsoever in said

premises or facilities and shall, upon demand of Unive-rirv.

           The parties agree that all medical records relating to
