 DIRECTORS hMMTING.

At a meeting of the board of Directors of the Highland
Coal a Land Company, duly called and held at the office of
the company at the office of harkine & hurkins in the town
of xrestonsburg, Kentucky, on the 7 day of April, 1914,
there were present Lirwn Harris, talter S. harkins and Joe-
eph D. Harkine, who being all the Directors of said Conpany
the following proceedings were had:~

The meeting was called to order by halter S. Harkins,
President of said Company.

Whereupon came Alice Kayo, Executrrx of the estate of

‘ Jozu o. C. Jaye, deceased, and represented to this hoard
that by hill of John C. G. hayo, duly admitted to probate
in the Johnson ;ounty Cjurt, on the day of
1914, and recorded in 1111 hook page _uof said
Johnson county Court, she became aid now is the owner of
the shares of stock in this company, now standing on the
books of said company in the nmze of f. C. C. kayo, and
thereupon reouested that said certificates of stock stand-
ing in the naue of said J. C. c. Kayo be receiVed by said
Company, as surrendered by her, and in lieu thereof that
certificate for said St shores be issued in her name. On
motion duly made, seconded and passed, it is ordered that
said certificates standing in the name of J. o. C. lsyo
to. 3 for 3 shares and we. 6 for 47 shareSm, be and the
same is now surrendered and cancelled, and in lieu thereof
the said Secretary and Ercsidcnt of this Company are au-
thorized and directed to issue in the umae of Alice Jaye
certificate for it shares of the Capital stock of said
Company, which is done accordingly, the Certificate so is‘
sued being 10. 12, issued in the nmne of fire. Jno.G.U.Vayo.

Thereunon the ;resident announced that there was and is
a vacancy in the Board of Directors of this Company, occas-
ioned by the death of hr. Layo. On motion duly made,
seconded and passed, it is ordered that ire. John Q. o. mayo
he and she is elected as a member of the Jomrd of Directors
of this Company, to serve as such until the next annual e-
lection of the birectors of this Company and until the due
election and qualification of her successor. The said firs.
John a. C. Kayo acceptssaid election, as evidenced by her
signature hereto.

Geo. F. Copeland, proxy of filice ;ayo, Executrix of the
estate of John C. C. ano, deoeased, to the stockholders'
meeting of this Company, thereupon brought to the attention
of the Board of Eirectore that at the time of the organiza-
tion of this company, and at the time of the conveyance of
certain properties owned by J. C. 0. Mayo to Walter 8. Rar-
kins, to be thereafter conveyed to this company, it was
agreed that this company would assume and this company did
assume the payment of items of balance due as purchase money
in favor of G. W. Wesley and Kalora Kagle, and also the
costs of a suit then and now pending in the Floyd Circuit
Court, wherein J. C. C. Hayo was plaintiff and A. V. Vaughn,
Jr. etc/ were defendants; thatsaid item as to G. M. Wesley,
at the timeamounted to 3 26.25 with interest, and was on the
29 day of harch, 1912, paid to said Wesley by Mr. Mayo, the
amount paid by him being $ 34.50; that the item as to Lalora
Eagle, 3 26.50, was paid by Fr. Kayo on February 2, 1913,
the same amounting with interest on said date to d 36.20,
making a total of 3 70.70 paid by Mr. Mayo upon indebtedness
the payment of which was assumed by this Company. On motion

 duly made, seconded and passed. the Treasurer of this Compar
ny is ordered and directed to pay to the estate of J. C. C.
Kayo, said sum of 3 70.70, check for whicn «as thereupon
issued. -

Thereupon came Walter a. Barking and represented that he
had paid, as a gurt of the costs in the case of Mayo V.
Vaughn hereinbefore referred to, and the payment of which
was assumed by this company, the sum of Q 14.60 for copies
of patents and other papers; on motion duly made, seconded
and passed, the Treasurer of this Company is ordered und'di*

My dear Judge:

Mr. B. F. Vincent, of Portsmouth, Ohio, was in
to see me fieturduy in regard to the lease of the Cliff
Coal-Company from the Highland Coal & Lands Company. He
says the coal is thining out to such an extent, that he
meet enlarge the lease, and has an option on two or
three tracta from the Big Sandy Coal & Coke Company. I
understand the Gilliepe‘s of Virginia are stockholders in
both the Highland Coal & Lands Company and the Bi, Sandy
Coal & Coke Company. Mr. Vincent informed me that he has
an option from the Big Sandy Coal & Coke Company, which
expires September let; that the same land has been op-
tioned to other parties subject to his Option, and that
unless he exercises his option he fears he will lose out.
No doubt, he has explained conditions to you fully. I
have talked to Mrs. Mayo, and we agree that there should
be a stockholders meeting of the Highland Coal & Lands
Company with representatives of the Cliff Coal Company
and the Big Sandy Coal & Coke Company. If you will call

meeting of the Stockholders of Highland Coal and Land Company
for the purpose of taking over some land of Big Sandy Coal and
COFe Tompany, which you desire included in your lease. I cannot
be present at the meeting of the Stockholders of this Company,
but I suggest that any proposition which is made should he
that Highland Coal and Land Company will purchase from Big
Sandy Coal and Coke dompany the land that you desire, and will
issue to Big Sandy Coal and Coke Company an amount of its capital
stock in payment for said land, said amount to he in the same
nroportion per acre for the land conveyed as that issued to the
present holders of the stock 0; said Highland Teal and Lané fiompany
for lands heretoiore conveyed.

prior to the slat, inet., and will be very glad to have your help.

I am confident that if you can give the matter attention
that it will be left practically to you, and were it not for the
Option of sale of the land desired to take effect September 1st,

I would not be so urgent in the matter but trust that you appreci-
ate that it is of very vital consequence to us.
