I hand you herewith the correspondence with Ir.fi.fl.hither~ .
spoon in regrrd to the fencing of uhe north Side of the right of way
through the L.3allie lay nnd F.H.Dudley lends west of Tinchester.

Hr.Wi3herppoon quotes correctly the wording of the award of
the jury in the condemnation of the Gey right of way. The length of
fence required for this right of we; on both sides is 285 rods, so that
the avard of $1500 for fencing is at the rate of $4.56 per rod. The
fence could be built now for $1.00 per rod, leaving $5.56 as a mainten—
ance fund, the interest of which at 6% would be Sufficient to rebuild
the fence every five years. I therefore think that there can he no
doubt but that that was vhau she a erd was for.

has been pretty well burned down, I think, by your road any way.
However, I am perfectly willing to run my half of the fence along
the entire line of the right-of—way with Dudley and Mrs. Gay, and,
as I expect to handle a good many mules, I am willing to run a
fence according to the following dimensions, etc: A wire fence
56 inches high of ll running strands, with cross bars each 12
inches apart, with looks that will not slip, and all wire, the
strands and cross bars are to be of No. 9 galvanized wire. At
and above the 56 inch fence there are to be 2 strands of barbed
wire. The first strand is to be 6 inches above the 56 inch fence;
the second is to be 7 or 8‘ inches above the first barbed wire, but
on the opposite side of? the post from the other wire, with good
black locust posts every 23 feet apart, each post to be 9 feet
long, 6 feet of which is to be above the gromd, and 3 feet in
the around.
So, if it is your purpose to run this kind of a fence
and run half of the entire string, let me know, and I will proceed
to build mine, as I have a good fencer new building a similar
fence on another part of the place, and he will be ready to hangs

’ On September 11th, 1888, a contract was enterei into
between 7m . Palmer and the Keniucky Union Railway Company,by
which Palmen agreed to donate to the Company right of way 100
feet wide for railroad through his lenfls in ice County, and the
?ailwey Company agreei to fence each eiae of the railroad and
make ceitlegusrflc. Balmen afreefl to execute a need for the
right of way when called unon. The Company built the fence along
the righfi of way line nnfl has mwinteined if up to this fiime. The
Kentucky Union Anilway Comoany fiid not procure a conveyance from
Belmor for this right of way eni on Aaron let, 1905, after it

A contract was also taken by the old Kentucky Union 7
Railway Compeny from Owens Crawforfi for rightof way on Ivy latch
with a similar provision as to fencing and a aeed was made by him
to that Company on December 8th, 1892, anfl §125.00 was paid to
Crawforfl at that time. A part of this land has since been pur—
chased and now owned by Vm. Palmer.

When the L.& N. began revision of the line from Ivy Patdx
out to Athol new right of way was purchasefl eni the line in some
places thrown off fihe original right of way. Palmer claims that
we are bounfi to maintain ihe fence, enfi says if we do not he will
sue to obtain nossession of that part of the old L.Q a. right of

THIS AGREEMENT,made and entered into this 2nd day of
July 1906, between the Lexington and Eastern Railway Company, party
of the first part, and the Lexington Lumber & manufacturing CO., of
Lexington, Ky., party of the second part, WITNESSETH:-
Railway
That WHEREAS the Kentucky Union/Company purchased from
the City of Lexington a right of way for its railroad through
their lands in Fayette County, beginning at Seventh Street ‘
and going east with a hundred feet strip, fifty feet on
either side of the center of its main line,and containing 1.97
acres more or less; the deed of which is recorded in Deed Book
84, page 416, in the clerk's office of said Fayette County.
WEEREAS second party has purchased the land of said)~+
City of Lexington on either side of said right of way; and
WHEREAS each of the parties hereto are required to
fence.one—half of said right of way, or one side.
THEREFORE in consideration of the premises and of
one dollar cash in hand paid by each of the parties hereto to
the other, receipt whereof is hereby acknowledged,
It is mutually agreed that first party shall erect

fencing just east of Seventh Street (Fotsch and Blue Grass Lumber Com-
pany) and referring to my lettgrwofmgehruary 17th on this subject.
I am sorrgfto bother you, but would be very nuggwohliged ii you would
answer my question in the third paragraph, viz: ’
"I would like to ask if Barney Fotsch could
' compel us to fence the entire right of way on his
side under the agreement," .
as Iégiigigiiedo not desire to enter into an agreement with the Blue
Grass*Fenee Company whereby We will have to fence one—half of the
north side and if there is any chance of Fotsch being able to compel
us to fence the entire south side.

Dear Sir:— ‘
Referring to conversation in regard to fence agreement with
Lexington Lumber & Manufacturing Co. for right of way fence just south
(east) of Seventh Street, mile No.2.
On investigation I find that the Combs Lumber Company in 1908
purchased the entire assets of the Lexington Lumber & manufacturing 005
including the land in question, without any Special mention being made
of this agreement. The latter Company have since conveyed the south—
ern parcel of this land (the part between the Winchestegjégd our track)
to Barney Fotsch and the northern part to the Blue Grass t3§§§r Co.,
\‘ without any mention whatever being made of the fence agreement which,
Kx£ as you will recall, was not recorded.
If you believe we cannot enforce this agreement and that the
Blue Grass Lumber Co. can legally require us to fence one—half of the
fright of way on the north side, I would like to ask if Barney Fotsch
foculd compel us to fence the entire right of way on his side under the
éagreement. If Fotsch could not, I believe the simplest way to handle
the matter Would be to enter into new agreement with each of the par-~
ties, having the same recorded- We would not be much loser under
the conditions,as fences on both sides were built in the same year and

The attached papers relative to fencing on mile 2
L. & E. Lexington, are self-explanatory and are referred to you
with the request that you favor me with your Opinion as to the
L. & E. Ry. Co./€:i§§m§f?9§%%§dthe demand of the Blue Grass
Lumber Company. I am troubling you in this matter for the
reason that it is stated in Mr. McDowell's letter to mr. Courte-
nay, Chief Engineer, dated April 18th, that it is the opinion
of our attorneys at Lexington, that, centrary to view expuessed
' in my letter to Mr. Courtenay, dated April 13th, that the L. &

n E. By. 00. can be compelled to construct one half of the fence
along the dividing line between its right of way and the proper-
ty of the Blue Grass Lumber Company notwithstanding the fact
that,at the time the prOperty on both sides of the tradk at the
point in question was owned by the Lexington Lumber and Mann-
facturing Company, and the L. & E. By. 00. constructed and has
since been maintaining the fence on the dividing line between
the right of way and the prOperty on the south or west side of
