Your letter of the let relative to settlement
with Lucinda Akemon. I return the papers enclosed with your
letter and would advise that Superintendent Seargeant states
in his letter of December 5rd that the crossing as now con:
structed and used by the parties is satisfactory and it will
be all right to include in the release the statement similar
te that set out in Mr. D. I. Day's letter of Noveumer 9th to
Mr. Jesse Morgen, I think the wording should be about as
I follows; '
It is distinctly understood that under the terms of
this settlement the parties hereto agree that the cross»
ing now being used by them is to be accepted in full ‘
compliance with the terms of the deedas to providing
crossing places on their property, and is accepted by
them in full settlenent of the obligation of the Rail—
road Company to build crossings on their property either
by law or by contract, now or any time in the future,
whether said land remains as now constituted or is here-
after subdivided, and further, for the consideration abas
named, it is understood.that the Said crossing shall be
maintained by the grantors herein.

herewith, please note copy of a letter of the 19th inst.,

from Mr. Jesse Morgan, together with copy of a letter addressed to
Mr. Morgan by Mr. D. I. Day, November 9, 1915, and also an
”Agreement, Release and Conveyance" heretOiore prepared by me,
with Sheet marked (4) proposed by Messrs. Day and Morgan to be
inserted in lieu oi page number 4 of the above Agreement, as
originally drawn. All of this correSpondence and the enclosed
papers have to do with a compromise settlenent of a certain
suit and claims of Lucinda Akemon,etc. against the L & E Ry.Co.,
in Letcher County. I am not prepared to pass judgment on the
recommendation made by Messrs..Day and morgan, for the reason
that I do not know just how far it Weuld bind us or just how far
it might affect us adversely or prejudicially in the future.
I think these are matters which ought to be canvassed by the
Construction or Operating Department before the matter is decided
by the legal department. At any rate, I do not feel competent to

' decide the matter on my present iniormation. I imagine that the
subject ought to be raid berore Mr. Bourtenay or Mr. Williams.

I might add that it is highly desirable to eiiect a
compromise adjustment of these matters with the plaintiifs in the
above mentioned suit and any concessions which we might make of
immaterial matters would be advantageous and unobjectionable.

1 My only concern is that we may not be misled in making concessions
which on their face are innocent and harmless enough, but which

In Re Settlement with Lucinda Akhmnn.

I hand you herewith the proposed release to be signed by
Lucinda Afiemon and husband, to the Company, and they each request
that this be added to the release;

"This settlement and release is not to affect the crossing new
used and occupied by the grantors herein, that are now being used
by them to get from one side of their farm to the other, but same
is to be kept, used and maintained by the grantors herein".

. If you remember, in a settlem nt of this, while were on
i the ground, she was to have that crossing, but was to keep it up
and maintain it, or at least that is what I understood about it,
and with that addition to the release they will sign it.
- Please re-write, or inter—line this, Where you think proper
and return to me, and I will have it executed.

I have sheet #4 attached that I am to later on, insert in—
stead of #4, already in, and if you re—write the Whole, add that
sheet in.

from any obligation under said covenant and agreement to erect,
repair or maintain any such crossing or crossings and release
and discharge both of said Companies from any and all liability _
for any delay or failure on the part or‘either of them to erect,
repair or maintain any such crossings, and do further release,
exonerate and discharge said Lexington & Eastern Railway Company
and said Louisville & Nashville Railroad Company from any and
all obligation on their part to construct, repair or maintain any
cattleguard or cattleguards upon or in connection with that part
of the railroad and right of way of the said Lexington & Eastern
Railway Company which is located upon the property conveyed by
first parties to second party in and by the aforesaid deed of .
December 28, 1910, and the said Lucinda Akmon, one of the parties
of the first part herein, who is plaintiff in the suit heretofore
instituted and now pending in the Letcher Circuit Court, against
the Lexington & Eastern Railway Company, for damages on account
of the alleged breach of the covenants contained in the aforesaid
deed and the alleged failure on the part of said Lexington & Eas-
tern Railway Company, to pay and discharge the entire considera-
tion for said conveyance by constructing and maintaining certain
crossings and certain cattleguards in connection with the right
of way conveyed by said deed, and in connection with other property
belonging to the parties of the first part, or one or more of them,
for herself and the other parties of the first part herein, agrees
and binds herself to dismiss said suit settled, at defendant's cost,

it is further agreed and stipulated herein that this agreement
and the covenants herein contained shall be binding upon the
parties of the first part, their heirs, personal representatives
and assigns, and that same shall be covenants running with the
land and shall not be subject to defeat by any conveyance of
said land or any part thereof by the parties at the first part,
or any of then.
, The tract or parcel of land to which this Agreement,
Ralease and Conveyance have particular reference is situated in
Letcher County, Kentucky, and is more particularly bounded and
described as follows, to-wit:

"A strip or parcel of land 80 feet wide, and lying

of equal widths on each side of the center line of the
main track of the North Fork Extension of the Lexington
& Eastern Railway: Said strip beginning at the property
line between the lands of the parties of the first part
and those of E. H. Combs. Said property line being at

or near construction station 3986 plus 20, the revised
enumeration of the benter line of main track of the party
of the second part. Thence up the river 40 feet wide

on each side of, parallel with and adjoining said center
line of main track through the lands of the parties of
the first part 1bO5 feet, more or less, to the boundary
between the lands of the parties of the first part

and those of E. H. Combs. Said strip containing 2.95
acres, more or less, together with such additional

widths as may be needed to cover borrow pits, waste banks,
and the slopes of cuts, fills and slides as may be made
in or result from the construction and maintenance

of the railroad to be constructed upon the land herein
conVeyed, provided the party of the second part shall pay
for such additional strips at the rate of eZOU.OO per
acre,"’

Being the same tract or parcel of land mentioned and
described in a certain deed of conveyance or the 28th day of
December, 1910, sf record in the Letcher County Court Clerk's
office, in Deed Book 41, at page 250, from Lucinda Akmon and
Martin Akmon, her husband, and mahala Ingram, a widow, to
Lexington & Eastern Railway Company, and being a part of the same :
land conveyed to the grantors in the aforesaid deed by Alexander
Ingram, by two deeds, one bearing date September 1, 1863, and the .
other bearing date February 12, 1866, of record in Deed Book

C & D, at page 310, and in Deed Book C & D, page 427, in the
aforesaid Clerk's office.

The parties of the first part hereby covenant that they
were the joint and lawrul owners of the land hereinberore mentioned,
in connection with which the several claims asserted by them
against the Lexington & Eastern Railway Company and Louisville &
Nashville Railroad Company originated at the time said claims
arose and that they have been ever since and are now such joint
owners.

The parties of the first part hereby further covenant
to and with the party of the second part to warrant generally the
rights, interests, estates, covenants and claims hereby conveyed
and released.
