The Executive Committee of the Board of Trustees of the Uni- versity of Kentucky met at 2 p.m. (Eastern Standard Time) on Mon- day, January 25, 1982 in the Board Room on the 18th floor of the Patterson Office Tower on the Lexington Campus. A. Meeting Opened and Roll Called Mr. William B. Sturgill, Chairman, called the meeting to order at 2:10 p.m. and the invocation was pronounced by Mr. Wil- liam R. Black. The following members of the Executive Committee answered the call of the roll: Mr. William R. Black, Mr. Albert G. Clay, Mr. Homer Ramsey, Mr. William B. Sturgill, and Mrs. Betty Pace Clark, ex officio Secretary of the Executive Committee. Governor Edward T. Breathitt was absent from the meeting. Members of the Board of Trustees attending the meeting were Governor Albert Ben- jamin Chandler, Mr. Tracy Farmer, Mr. W. Terry McBrayer, Mr. A. Stevens Miles, Professor William F. Wagner, and Professor Con- stance P. Wilson. The University administration was represented by President Otis A. Singletary; Vice Presidents Jack C. Blanton, Peter P. Bosomworth, Donald B. Clapp, Art Gallaher, Raymond R. Hornback, John T. Smith, Charles T. Wethington, and Robert G. Zumwinkle; Dr. Wimberly C. Royster, Dean of the Graduate School and Coordinator of Research, and Mr. John C. Darsie, General Counsel. Members of the various news media were also in attend- ance. A quorum being present, the Chairman declared the meeting officially open for the conduct of business at 2:12 p.m. B. Minutes Approved The Minutes of the December 8, 1981 meeting of the Board of Trustees were approved without objection. C. President's Report to the Trustees (PR 1) President Singletary reviewed briefly some of the items in his monthly report to the Trustees, calling particular attention to (1) the naming of the theatre in the new Student Center addi- tion the MARGARET CANTRILL WORSHAM THEATRE, (2) the opening of the new Neonatal Intensive Care Unit of University Hospital, (3) a most successful exhibit of the Armand Hammer Collection, and (4) the great success of the United Way campaign on campus which, PAGE 2 to date, has exceeded this year's goal by over 19 percent. He also called attention to one item not included in his report, the book reviews of publications by the University Press of Kentucky during the fourth quarter of 1981. President Singletary then recommended acceptance of his monthly report and, without objection, it was so ordered. D. Recommendations of the President (PR 2) Prior to his recommendation that the appointments and staff changes in PR 2 be approved, President Singletary called atten- tion to the following administrative appointments in the Medical Center: the reappointment of Professor Abner Golden as Chairman of the Department of Pathology, the appointment of Dr. D. Kay Clawson, Dean of the College of Medicine, as Associate Vice Pres- ident for Clinical Affairs, and the appointment of Jack B. Hall as Associate Vice President for Health Care Services. On motion by Mr. Ramsey, seconded by Mr. Black and passed, the appointments and staff changes as recommended in PR 2 were approved. (See PR 2 at the end of the Minutes.) E. Supplemental Recommendations of the President (PR 3) President Singletary recommended that the Board of Trustees accept a gift of land located in Franklin County, Kentucky and valued at $240,000 from the Dana Corporation. He said that he will instruct Vice President Blanton to put the land, which is the latest in a series of corporate gifts, on the market for sale following acceptance of the gift. Mr. Clay requested that the record show the Trustees wished to express their thanks to President Singletary for his efforts in obtaining this gift for the University, and through him would like to thank Dana Corporation for this substantial gift. On motion by Mr. Clay, seconded by Mr. Ramsey and passed unanimously, the gift from Dana Corporation as recommended in PR 3 was accepted. (See PR 3 at the end of the Minutes.) President Singletary reported that the University of Ken- tucky Annual Giving Fund has reached the $1 million goal and that private giving has, for the first time, exceeded $6 million. He expressed his pleasure with this good news 'in an otherwise bleak financial landscape." F. Budget Revisions (PR 4) On motion by Mr. Black, seconded by Mr. Clay and passed, the budget revisions as recommended in PR 4 were authorized and approved. (See PR 4 at the end of the Minutes.) Appointments to University of Kentucky/Business Part- nership Foundation (PR 5) With President Singletary so recommending, on motion by Mr. Clay, seconded by Mr. Ramsey and passed without dissent, the fol- lowing members were appointed to the Board of Directors of the University of Kentucky/Business Partnership Foundation for four-year terms ending December 31, 1985: Mr. Frank Paxton, Mr. Walter Dear, and Mr. T. A. Lassetter. (See PR 5 at the end of the Minutes.) H. Patent Assignment (PR 6) The recommendation in PR 6 regarding a patent assignment, being of a routine nature, President Singletary recommended approval. On motion by Mr. Ramsey, seconded by Mr. Black and passed, PR 6 was approved. (See PR 6 at the end of the Minutes.) I. Change in Name for the Department of Educational Psy- chology and Counseling to the Department of Educational and Coun- seling Psychology (PR 7) Without discussion, on motion duly made, seconded and car- ried, approval was given to change the name of Department of Edu- cational Psychology and Counseling to the Department of Educational and Counseling Psychology, effective immediately. (See PR 7 at the end of the Minutes.) J. Change in Name for the Center for Real Estate and Land Use and Analysis to the Kentucky Real Estate Research Center (PR 8) With President Singletary so recommending, on motion by Mr. Ramsey, seconded by Mr. Black and passed, approval was given to change the name of Center for Real Estate and Land Use Analysis to the Kentucky Real Estate Research Center, effective immediate- ly. (See PR 8 at the end of the Minutes.) K. Response to Office of Civil Rights Plan (PR 9) On motion by Mr. Clay, seconded by Mr. Black and passed without dissent, the Board authorized President Singletary to sign on behalf of the University a letter to Governor John Y. Brown, Jr. (copy of which is attached to PR 9) relative to Kentucky's Plan in Response to the Office for Civil Rights Letter of January 15, 1981. President Singletary added that a letter acknowledging that each institution in Kentucky will make a good faith effort to achieve the goals of the Plan as they relate to the particular institution is required as a part of the State's submission to the U.S. Department of Education. (See PR 9 at the end of the Minutes.) PAGE 4 L. Interim Financial Report (FCR 1) Mr. Clay, Chairman of the Finance Committee, reported that the Committee had met on the morning of January 25 and had only one recommendation to make to the Board. He then moved that the financial report for the five months ending November 30, 1981 be accepted. His motion was seconded by Mr. Ramsey and passed with- out dissent. The property has been valued by an independent appraisal at $240,000.00. This is the latest in a series of corporate gifts to the University. President Singletary, who serves as a member of the Board of Directors of Dana Corporation, has been working on the gift for some time. It is contemplated that the University will dispose of the property and utilize the proceeds for educational purposes. Comments - Student fees generated by the Off-Campus program at the Madisonville Community College will fund an increased level of programming. Fees from Continuing Education programs at the Paducah Community College will also allow additional programming. Student breakage fees will fund expenditures in Pharmacy. The increase in Community College System Program Reserve is a result of a grant from the Council on Higher Education for AHES fiscal agent responsibilities.
