The Board of Trustees of the University of Kentucky met at 1:00 p.m. (Lexington time) on Tuesday, October 23, 1990 in the Board Room on the 18th floor of the Patterson Office Tower on the Lexington Campus. A. Meeting Opened and Roll Called Mr. Foster Ockerman, Chairman, called the meeting to order at 1:00 p.m., and the invocation was pronounced by Mr. Billy B. Wilcoxson. The following members of the Board of Trustees answered the call of the roll: Mr. Foster Ockerman (Chairman), Mr. Ted B. Bates, Professor Carolyn S. Bratt, Mr. William E. Burnett, Jr., Governor Albert B. Chandler, MIr. Tracy Farmer, Mrs. Edythe Jones Hayes, Professor Judith Rhoads, Mr. James L. Rose, Judge Robert F. Stephens, Mr. Jerome A. Stricker, Mr. Daniel C. Ulmer, Jr., Mr. Billy B. Wilcoxson, and Judge Henry R. Wilhoit, Jr. Absent from the meeting were Senator Walter D. Huddleston, Mr. Sean Lohman, Dr. Robert P. Meriwether, Mr. William B. Sturgill, and Judge Julia K. Tackett. The University administration was represented by President Charles T. Wethington, Jr.; Chancellors Peter P. Bosomworth and Robert E. Hemenway, Jr.; Acting Chancellor Ben W. Carr, Jr.; Vice Presidents Edward A. Carter and Eugene Williams, Acting Vice President Leonard K. Peters; Mr. C. M. Newton; and Mr. John C. Darsie, General Counsel. Members of the news media were also in attendance. A quorum being present, the Chairman declared the meeting officially open for the conduct of business at 1:03 p.m. B. Committee Appointments Mr. Ockerman announced that the committee appointments for 1990-91 had been made and a copy of the appointments had been placed in the folders. C. Minutes Approved Mr. Ockerman stated that the Minutes of the September 18, 1990 Board of Trustees meeting had been distributed and asked for corrections or additions. The Minutes were approved as circulated. D. President's Report to the Trustees (PR 1) President Wethington reviewed briefly some of the items in PR 1, calling particular attention to the following: 1. The Appalachian Regional Collection has been named in honor of former Governor Bert T. Combs. - 2 - 2. Two more college guides have given the University of Kentucky high marks for its quality and low costs. 3. The University's Debate Team took first place at the opening National Collegiate Debate Tournament. 4. A team of UK researchers has received a $4.4 million .grant to conduct research related to microcirculation. S. The congressional conference committee has approved the second phase of the ASTeCC project. 6. The College of Dentistry has implemented a new mobile service for underserved children in rural areas of Kentucky. 7. The UK study on the status of women at the University has been completed. 8. Philip Morris is providing $61,000 in 1990-91 for a career scholarship program at Jefferson Community College. He asked that the members review the other important items in the report at their leisure. President Wethington reminded the Board that legislation was passed in 1990 to provide funding and authorization for a Rural Health Initiative as part of the Omnibus Health Care Act. He called on Chancellor Bosomworth to give a brief report on the status of the Rural Health Initiative. Chancellor Bosomworth reviewed the history of the project, the elements of Senate Bill 239, and various sections of the Health Reform Act of 1990. He described some of the important needs with regard to medicine in Eastern Kentucky and displayed tables illustrating the progress the University has made toward planning and recruitment of personnel and students in the rural Kentucky area. He stated that this is an extensive program and the ultimate appropriation to the program will be in excess of $5 million on a recurring basis. The program represents a major commitment on the part of Governor Wallace Wilkinson and members of the legislature. He said that the University of Kentucky is proud to be associated with the program and pleased to participate in its execution. E. Personnel Actions (PR 2) With President Wethington so recommending, on motion made by Mr. Bates, seconded by Judge Wilhoit and passed, the routine personnel actions in PR 2 were approved. (See PR 2 at the end of the Minutes.) Mr. Bates, Judge Wilhoit, Professor Betts, Mr. Farmer, and Mr. Stricker commented on the appointment of Mr. Bob C. Whitaker as Director of Alumni Affairs. Mr. Whitaker received praise for his - 3 - outstanding performance as Associate Director of Alumni Affairs, and it was stated that he is uniquely qualified for his new position. Mr. Whitaker was asked to stand and be recognized, following which he was given a round of applause. President Wethington shared the Trustees' sentiments about Mr. Whitaker. He also called attention to the upcoming retirement of Dr. Paul G. Sears, Special Assistant for Academic Affairs. He stated that Dr. Sears has been an excellent University citizen and thanked him for his dedicated service to the University. Dr. Sears was asked to stand and be recognized, following which he was given a round of applause. Mr. Ockerman also expressed appreciation to Dr. Sears for the outstanding job he has done for the University, especially with the recent presidential search, and wished him well. F. Chancellor for the Community College System (PR 3A) President Wethington provided background information on the Chancellor for the Community College System and University Relations position. He recommended that the title be changed back to the previous title, Chancellor for the Community College System, in order to properly reflect the current and projected future responsibilities of the position. He noted that the public relations and governmental relations responsibilities would continue to be under the Office of the President. The motion, which was made by Mr. Rose and seconded by Mr. Stricker, carried unanimously. (See PR 3A at the end of the Minutes.) G. Associate Degree Program in the Community College System Hazard Community College (PR 4A) President Wethington recommended that the Board of Trustees authorize for submission to the Council on Higher Education a new degree program, Associate Degree in Applied Science, Radiography, for the Hazard Community College. He noted that this is a program that closely relates to the rural health initiative legislation for Eastern Kentucky. Professor Rhoads so moved. Her motion was seconded by Mr. Stricker and passed. (See PR 4A at the end of the Minutes.) H. Associate Degree Program in the Community College System Madisonville Community College (PR 4B) Acting on the recommendation of President Wethington, Professor Rhoads moved that the Board authorize for submission to the Council on Higher Education a new degree program, Associate Degree in Applied Science, Engineering Technology, Computer Aided Design Option, for Madisonville Community College. The motion, which was seconded by Mr. Wilcoxson, carried. (See PR 4B at the end of the Minutes.) I. Associate Degree Program in the Community College System Madisonville Community College (PR 4C) With President Wethington so recommending, Professor Rhoads also moved that the Board authorize for submission to the Council on Higher Education a new degree program, Associate Degree in Applied - 4 - Science, Engineering Technology, Computer Repair Option, for Madisonville Community College. Her motion was seconded by Professor Betts and passed. Acting Chancellor Carr explained the difference between the computer aided design option and the computer repair option. (See PR 4C at the end of the Minutes.) J. Change in Title of an Academic Degree (PR SA) President Wethington recommended that the Board approve the change in title of the Bachelor of Science in Home Economics to the Bachelor of Science in Merchandising, Apparel, and Textiles. Professor Betts so moved. The motion, which was seconded by Professor Bratt, carried. (See PR 5A at the end of the Minutes.) K. Acceptance of Interim Financial Report for the University of Kentucky for the Three Months Ended September 30, 1990 (FCR 1) Mr. Ockerman, Chairman of the Finance Committee, reported that the Finance Committee had met and approved all of the items on the agenda. He entertained a motion for approval of the Interim Financial Report for the three months ended September 30, 1990. Mr. Farmer so moved. His motion was seconded by Mr. Wilcoxson and passed. (See FCR 1 at the end of the Minutes.) L. Acceptance of the Financial Statements of the University of Kentucky and Affiliated Corporations and Other Related Organizations for the Year Ended June 30, 1990 (FCR 2) Mr. Ockerman reported that representatives of Coopers & Lybrand, Certified Public Accountants, made a presentation to the Finance Committee. The representatives reported that the University is properly handling its financial affairs and were complimentary of the University's administrative staff. On motion made by Mr. Burnett, seconded by Mrs. Hayes and carried, the Board accepted the audited financial statements of the University and affiliated corporations and other related organizations for the year ended June 30, 1990. (See FCR 2 at the end of the Minutes.) M. Disposal of Personal Property (FCR 3) Mr. Ockerman recommended that the routine report on the disposal of personal property be approved. Professor Betts so moved. The motion was seconded by Mr. Rose and carried. (See FCR 3 at the end of the Minutes.) N. Master Note Program (FCR 4) Mr. Ockerman recommended that the Board approve the University's participation in the State Property and Buildings Commission Master Note Program and that the President be authorized to execute the necessary agreements with the Finance and Administration Cabinet of the Commonwealth of Kentucky. Mr. Wilcoxson so moved. His motion was seconded by Mr. Bates and passed. (See FCR 4 at the end of the Minutes.) -5- 0. Report of Lease (FCR 5) On motion made by Mrs. Hayes, seconded by Mr. Burnett and carried, the Board accepted the lease agreement between Pharmacy Continuing Education and Rose/Harman Investors. (See FCR 5 at the end of the Minutes.) P. Approval of Lease (FCR 6) Mr. Ockerman recommended that the lease agreement in FCR 6 be accepted. He explained that the agreement would authorize the construction of a fire station which would afford additional fire protection for the University's facilities at Quicksand, Kentucky. The motion, which was made by Mr. Rose and seconded by Professor Betts, passed. (See FCR 6 at the end of the Minutes.) Q. Report of Investments (ICR 1) Mr. Stricker, Chairman of the Investment Committee, reported that the Committee met earlier and reviewed the Report of Investments. In addition, the Committee received a report from the Office of Financial Management and Economic Analysis from the Commonwealth of Kentucky dealing with a program of short-term investments. He reminded the Board of the University's short-term investments program which began a year ago. He reported that the University had increased its net income from the short-term investments by $132,000 during the 12 months that ended September 30, 1990. He projected that the number will be in the neighborhood of $172,000 for the next 12 months. He congratulated Mr. Henry Clay Owen, Mr. Owen's staff, and Mr. Jim Ramsey, Office of Financial Management and Economic Analysis, for their excellent work on behalf of the University. Mr. Stricker stated that ICR 1 is the routine report of changes in investments for the University of Kentucky and its affiliated corporations for the three months ended September 30, 1990. He moved that the report be accepted. The motion was seconded by Professor Rhoads, and it was so ordered. (See ICR 1 at the end of the Minutes.) R. Comments about New Library Facility President Wethington commented on a recent public announcement concerning a new library to be constructed on the Lexington Campus. The new library will serve the entire University of Kentucky and the Commonwealth of Kentucky. He reported that a steering committee composed of faculty, staff, administration, Board members and citizens will be appointed to assist with the planning for the new central library facility. He stated that the University has an excellent library with excellent collections, and it must be kept up-to-date and improved. He hoped to have the project in place for consideration by the Council on Higher Education, the General Assembly and the Governor for the 1992 legislative session. He encouraged the Board of Trustees and the University community to be supportive of the project. - 6 - S. Comments from Mr. Ockerman Mr. Ockerman expressed thanks to Mr. Newton and his coaches, Bill Curry and Rick Pitino, for their fundraising efforts for the University's book project. T.
