sometimes called the "Owner,“ and ADAMS PAINTING COMPANY, of I ‘I ,
Jenkins, Kentucky, party of the second part and hereinafter - '_ I

In conSideration of the payments hereinafter to be _ I
made by the Owner to the Contractor, the Contractor covenants I
and agrees to furnish the labor and equipment to perform the I ' I
work outlined herein in a substantial and workmanlike manner and ' a
. in conformity with the best practices of the painting trade and ' _'
. in accordance with the following terms and conditions: h
(l) The work to be done under this agreement shall con-
sist of painting by the Contractor of such buildings and Struc- 'I
7 turea or such parts thereof as the Owner shall elect. The ‘
amount of work to be done or the yardage to be covered shall N.

(2) The Contractor shall commence the work immediately V ”
, . upon receipt of written notice from the Owner and shall dili-
gently proceed with and fully cemplete same on or before the I'
15th day of October, 1956. " l
(3) The work herein provided shall be done to the entire
satisfaction of the Owner or hie-authorized representative, and ‘
Bhall be subject to his inepection and final approval. The ' I
representative of the OWner shall have the right at all times
to inepect the work during its progress, and have full authority
to make rulings as to whether or not this work is being executed
correctly and in accordance with the terms and conditions of
this agreement.

(h) The Owner‘s authorized representative shall have the ‘
right to stop any painting if, in his Judgment, the weather is
unsuitable, or if for any reason the work is not being performed
in accordance with this agreement. ‘

I (5) The Contractor shall remove all loose flirt, loose ‘
paint, scales, etc., using scraper, steel brush, stiff broom or
such other type of tool, on all surfaces where necessary before
applying any paint to any houses, and other builaings or struc-
tures. He shall also see that all nail holes and cracks are
filled with paint to prevent water from working into the wood.

On all houses or other wood buildings, having areas

. where previously applied paint has checked, heeled, scaled or
blistered the surface of such areas Shall be thoroughly scraped
and cleaned. Such areas or any other areas or Spots of exposed
wood are to be primea with Linoil before the finish coats of
paint are applied.

(6) The Contractor Shall be responSible for mixing all
taint in strict accordance with the paint manufacturer's in-
structions and shall not deviate therefrom without permission
of the Owner.

(7) The Contractor Shall apply one coat of paint to all
surfaces unless instructed in writing by the Owner or his
authorized representative that two coats are desired.

(8) All surfaces must be perfectly cry before any paint
is applied. No painting is to be done over frosty surfaces or
when temperature is below 50 degrees Fahrenheit.

(9) The Contractor shall have the right to hire an& dis-
charge all labor under this agreement without interference on
the part of the Owner.

' (10) The Contractor will give his personal attention to
the supervision and direction of the work under this agreement
and will furnish practical and competent painters.

i The Contractor will not retain in his employ anyone
who shall appear to he incompetent or who shall act in a dis-

’ orderly or improper manner in carrying on work under this agree»
ment.

(11) The Owner shall in advance of the work furnish the
Contractor a map and schedule showing the buildings and Struc-
tures to he paintefl and the color combination to be used on each >
building, the Owner reserving the right to change any color com-
bination by giving the Contractor sufficient advance notice.

(12) After the completion of the work, the Contractor
shell remove all temporary false work or structures built by
him one any surplus material of any kind from the site of the
work and leave the premises in first-class condition. If, in
the performance of any of the work under this agreement, it be-
comes necessary to remove vines, foliage or other obstructions,
the Contractor shall do so at his own expense and shall replace
same properly preserved upon completion.

(13) The Centractor shall not assign this agreement, in
whole or in part, or sub-contract any of the work to be done
under this agreement, or any part thereof, without the consent
in writing of the Owner. '

(It) If the work under this contract is abandoned, or if
at any time the Owner shall be of the opinion that the work is
unnecessarily or unreasonably delayed, or the Contractor is
willfully violating any of the conditions of this agreement or
is not prosecuting the work in good faith, the Owner shall have
the right to notify the Contractor in writing to aiscontinue
all work or any part thereof remaining uncompleted; and there-

 " upon the Contractor shall immediately discontinue said work or
any part thereof as directed by the Owner, and the Owner shall
thereupon have the right to contract with other parties for the
completion of all work discontinued in this manner. However,
this provision shall not apply in the event the contractor is
delayed or otherwise affected in the completion of this work by
reason of strikes, lockouts or other causes beyond his control.
In the event this agreement is terminated by the Owner in the
manner set forth above, the Contractor shall only be paid for
(cork actually cempleted in place at the time of such termination.
'V (15) The Owner shall insure all labor under the provisions
of the Kentucky Workmen‘s Compensation Act, and the Contractor
shall require all persons employed by him in said work to accept
said act before they engage in said employment or perform any
work for the Contractor; and failure on the part of the Con-
tractor to strictly comply with the provisions of this clause
of this agreement shall automatically terminate, ennui and for-
feit said agreement at the option of the Owner.

' (16) The Centractor Shall contemporaneouSly with the
execution of this agreement and before any work whatsoever has
been done in connection therewith, furnish evidence of public
liability Insurance with limits of $10/2o,ooo, this is to say,
in case of any one accident resulting in bodily injury or death
of one person, the limit of liability is $10,000, and in case
of any one accident resulting in bodily injury or death to
more than one person, the limit of liability is $20,000. This
insurance coverage shall be acceptable to the Owner, and this

‘ agreement shall not be binding on the Owner until the said in-
Burance has been made effective and approved by the Owner.

(17) The Contractor shall exercise every precaution to
avoid damage to company property, such as damage to eeve

troughs, cornices, screens, telephone cable, etc. and removal
of paint from window lightS, and in event of any damage, it is ’
to be repaired or replaced at the expense of the Contractor.
(18) The Contractor shall keep an accurate record of the
time of all labor employed under this contract and shall pay
the proper collectors when and as same become due and payable,
_ all taxes, both dtatc and Federal, that may be levied or become
payable in any manner by reason of the execution of this con-
tract, including but not limited to Social Security and Unem-
ployment Campensation. This record shall be subject at all
times to the inspection and check by a representative of the .
Owner. V
(19) It is understood the Contractor will furnish the
labor to replace all broken glass and putty all windows where
, needed at his own expense.
(20) The Owner will furnish without cost to the Contractor
all paint, linSeed oil and thinner, also all glass and putty,
delivered to a central location within the Town of Wheelwright
so that it will be accessible to the Contractor.
The Contractor is to furnish all other material and
equipment, including paint brushes, at his own expense.
‘ (21) A representative of the Owner and a representative
of the Contractor shall make all eetinates of work on which pay-
ments are to be made.
Measurements for all work on a yardage basis shall
be the actual surface painted, provided, however, that no de-
V dutions shall be made for windows or similar openings, but an '
allowance of 50 per cent excess on actual measurements will be
made for all open lattice work, porch balnstrades and screens.
(22) The price to be paid to the Contractor for one-coat
work shall be nineteen cents (19¢) per square yard and for two-
coat work the price shall be twenty-nine cents (29¢) per square

yard.
2 The prices mentioned in the foregoing paragraph are
intended to cover payment for all of the work to be performed
by the Contractor under this agreement, except as stated in
paragraph (23).
(23) Where the Owner designates that steam cleaning is
required, the Owner will pay the Contractor for the actual cost
of the labor plus 20 per cent.
(2%) The payments mentioned in paragraph (22) on yardage
basis Shall cover the cost of labor in removing and replacing
all Screens in the buildings or bonses being painted.
(25) Payment for all fiork covered by this agreement shall V
be made as follows: On the first day of each month curing the 7
continuance of the work an estimate will be made by represento~ 1
tives of the Owner an& the Contractor. This estimate shall '
. cover the value of all work done during the preceding month, and 1
7 on or before the 15th day of said month, ninety (90) per cent of 7
the amount of Said estimate shall be paifi the Contractor by the 7
Owner, the remaining ten (10) per cent to be held in reserve by é
the Owner pending completion and final acceptance of the work 7
under this agreement. The Contractor Shall not be entitled to i
receive the final payment on the work until same has been fully E
completed to the entire Satisfaction of the aner ana until the 7
Contractor has submitted sufficient evidence that he has paid 3
7 all bills and charges for materials furnished and labor performed 7
under this agreement. 2
