have approved a vacation policy which is to be
uniformly applied and administered throughOut
the Company. A copy of this policy is attached
for your information. If you have any questions
regarding this policy please refer them to your
superiors.

 VACATION PLAN FOR NON“B£3§4£LEEEMQ££EME§2EQ£§§§
In order to provide for consistent and equitable handling of
vacations and related matters for all non—bargaining unit employees
and to establish the Companyis liability for vacation payments, the
following vacation plan is adopted for these employees, effective for
vacations to be taken in l954 and subsequent years.
1. Eligibility
A. Except for fleet employees, eligibility for paid vacations shall
be based upon service rendered during the preceding calendar year,
and the liability of the Company shall be effective on the last day
of such preceding calendar year. On December 31, l953 eligibility
for vacations to be taken during 1954 shall be determined, and on
each succeeding December 3l similar determinations shall be made
with respect to vacations to be taken in the following calendar year.
B. Fleet employees shall continue to receive pay in lieu of vacation
and eliqihility, therefore, shall be based upon service rendered dur-
ing a given calender yearo Payment shall be made as soon as practi—
‘ ,le after the close of the shipping season ani in any event on or
before December 31 of such calendar year.
C. Vacation benefits for employees who return to work after an ab—
sence of more than thirty days due to sickness will be determined on
an individual basis in the year in which the employee returns to
work.
D. In the event of termination of employment for any reason (includ-
ing retirement, death and entry into military service) on or prior
to Decjlber 31 in any calendar year, no vacation time or payment in

lieu of vacation will be allowed for service rendered during the
calendar year in which such employment is terminated.
2. Length of_Eacations
A. Permanent Full13ime Employees with More Than_Qne_leendar
Year's Service
(i) Employees who have completed fourteen or more full cal—
endar years’ service as of December 31 will be granted a va—
cation of three weeks.
(ii) Employees who have coupleted one or more, but less than
fourteen full calendar years‘ service as of December 31 will
be granted a vacation of two weeks.
B. Tem orar' and Part:time EmployeesI and Permanent Full—time
Employees with Less than One Calendar Yearl§_§eryige
Employees who have completed less than one full calendar year's
service as of December Bl will be granted vacations in accord—
ance with existing fractices at each Operation of the company,
up to a maximum of two weeks.
3. gghejuling of Vacations
A. Except as hereinafter provided in paragraph 5, no deviation
will be permitted from the Company's policy which requires that
all eligible employees shall take vacation time off from work.
B. Vacation time is not cumulative, and therefore vacations for
which employees are eliwible must be taken during the following
calendar year.
C. Although consideration will be given to the preferences of in—
dividt l employees, the vacation time allotted to each employee
shall be determined by the Company so as to cause minimum interference

with plant and office operations.
D. Successive annual vacations may not be scheduled to run con—
consecutively.
E. Since it is the Company's policy that employees take at one
time the vacation to which they are entitled in order to obtain
the maximum benefits of rest and change, the taking of vacations
a day or two at a time will be permitted only when individual
circumstances clearly justify it.
F. If a holiday (other than a Saturday or Sunday) generally
observed by the Company falls within the allotted vacation period,
an extra day may be taken or the employee may be given correspond—
ing time off later.
h. Rate of Vacation Pay
A. For salaried employees, vacation pay shall be computed at the
salary rate in effect at the beginning of the employee's vacation
period, but shall not be less than the rate in effect on the pre—
ceding December 31, when eligibility for a vacation was established.
B. For hourly rate employees the weekly rate of vacation pay shall
be computed on the basis of (i) the employee's average number of
hours worked per week during the pay periods closed in the calendar
quarter immediately precedinq the beginning of the employee's va—
cation period multiplied by (ii) his average rate of earnings per
hour for such calendar quarter, but shall not be less than a weeku
ly rate similarly computed for the pay periods closed in the ca—
lendar Quarter ending on the preceding December 31. Except for
temporary and part—time employees, however, each week of vacation

pay shall be deemed to be the equivalent of not less than forty hours.
C. Vacation pay normally will be paid to employees on regular pay
days, but may be advanced if a regular pay day occurs during the em—
ployee's allotted vacation time, provided request is made to the
Company at least one week in advance.
5. Pay in Lieu g§_yacations
A, No payment in lieu of vacation shall be made in the following in—
stances:
(i) when an employee is discharged for cause, (ii) when an employee
quits withOut giving at least two weeks' written notice to the Com-
pany, or (iii) for any extra vacation day allowed to be taken pur—
suant to Paragraph 3 F.
’ B. Payment in lieu of vacation may be made in the following instances:
I (i) termination of employment, except as provided above,
(ii) entry into or return from military service, or (iii) retirement.
. C. In the event of the death of an employee, pay in lieu of vacation
will be computed and included with accrued earnings due to the employee.
U. Payment in lieu of shall be permitted for fleet employees.
E. Payment in lieu of vacation shall be made in any case not covered
in this paragraph 5 only when operating conditions are deemed by the
Company to require it.
6. Amendment of Plan
On or before December 31 of each year, commencing with the
year 195u, the Company may revoke or amend this vacation plan with
respect to vacations to be taken in the next succeedin: calendar year.
