      Minutes of the Meeting of the Board of Trustees of the
University of Kentucky, Tuesday, September 20, 1988.

      The Board of Trustees of the University of Kentucky met at 1
p.m. Lexington time on Tuesday, September 20, 1988 in the Board Room
on the 18th floor of the Patterson Office Tower on the Lexington
Campus.

       A.    Meeting Opened

       Mr. Robert T. McCowan, Chairman, called the meeting to order at
1 p.m., and the invocation was pronounced by Professor Betts.

       B.    Roll Call

       The following members of the Board of Trustees answered the
call of the roll: Mr. Robert T. McCowan (Chairman), Mr. Ted B. Bates,
Professor Raymond F. Betts, Mr. Albert G. Clay, Professor Mary Sue
Coleman, Professor David R. Driscoll, Jr. Mr. Tracy Farmer, Mr.
Lawrence E. Forgy, Jr., Mrs. Edythe Jones Hayes, Mr. Henry E. Hershey,
Senator Walter D. Huddleston, Dr. Nicholas J. Pisacano, Mr. James A.
Rose (James), Mr. James L. Rose (Jim), Judge Robert F. Stephens, Mr.
Jerome A. Stricker, Mr. Billy B. Wilcoxson, and Judge Henry R.
Wilhoit, Jr. Absent from the meeting were Governor Albert B. Chandler
and Judge Julia K. Tackett. The University administration was
represented by President David P. Roselle; Mr. Edward A. Carter, Vice
President for Administration; Chancellors Peter P. Bosomworth, Art
Gallaher and Charles T. Wethington; Dr. Wimberly C. Royster, Vice
President for Research and Graduate Studies; Mr. Eugene R. Williams,
Vice President for Information Systems; and Mr. John C. Darsie, Legal
Counsel.

       C.    Nomination of Officers and Executive Committee

       Under the Governing Regulations, officers of the Board and the
Executive Committee are elected annually at the September meeting.
Mr. McCowan, who had appointed a Nominating Committee comprised of
Senator Huddleston (Chairman), Professor Coleman, Mrs. Hayes, Mr. Jim
Rose, Mr. Wilcoxson, and Judge Wilhoit, called on Senator Huddleston
to present the Committees recommendations.

       Senator Huddleston placed the following slate of officers for
1988-89 in nomination:

       Robert T. McCowan, Chairman
       Albert G. Clay, Vice Chairman
       Edythe Jones Hayes, Secretary
       John C. Darsie, Assistant Secretary

       Since Mr. McCowan was being nominated for Chairmanship of the
Board, he called on Mr. Farmer to assume the Chair. There being no
nominations from the floor, Mr. Farmer moved acceptance of the
nominations. The motion was voted on and passed unanimously. Mr.
McCowan assumed the Chair and expressed appreciation to the members of
the Board.

      Senator Huddleston continued his report by placing in
nomination for membership on the Executive Committee the following
names:

      Mr. McCowan called on Mr. Wilcoxson to Chair the motion. There
being no nominations from the floor, on motion made by Judge Stephens,

       E.    Minutes Approved

       On motion made by Mrs. Hayes, seconded by Mr. Forgy and passed,
the Minutes of the August 16, 1988 meeting of the Board of Trustees
were approved as written.

       F.    President's Report to the Trustees (PR 1)

       President Roselle reviewed briefly some of the items in PR 1,
calling particular attention to (1) the favorable report on the
quality of new freshmen and a record high of 55,350 in enrollment with
a growth in minority students and particular colleges, (2) the
successful recruitment of a research organization, the Asphalt
Institute, (3) Madisonville and Hopkins County citizens' gift to help
build a new auditorium, (4) workshop on October 6 to increase
awareness of minority issues at the University, (5) College of Fine
Arts benefit performance featuring Roberta Peters on November 2 at the
Singletary Center for the Arts, (6) 1988-89 United Way campaign
underway with the University's goal being $337,800, and (7) the visit
of the Finance Committee of the Council on Higher Education on
September 30 as part of a review of the formula by which higher
education is to be funded in the Commonwealth.

       President Roselle reported that the October Board luncheon will
provide Board members an opportunity for contact with programs at the
institution. He explained that the Board members will be divided
among four different dining rooms and have lunch with college deans,
members of the college faculty and students. This will provide the
members an opportunity to learn first-hand about some of the
activities of a specific college. He continued that if the Board
finds this approach to be of interest and useful, such luncheons will
be scheduled on a periodic basis.

       President Roselle asked the members to be thinking about the
possibility of "A Day on Campus." The Board members would be teamed
with a student, faculty member or employee of the University and
experience a day of their life on campus.

       Mr. McCowan expressed his pleasure in the Asphalt Institute
moving to the University and to Lexington. He stated that the
Institute has a very fine reputation and has made important
contributions to road building and other important things to the
economy as well as the progress in the nation.

       G.    Personnel Actions (PR 2)

       With President Roselle so recommending, on motion made by Mr.
Farmer, seconded by Mr. Stricker and passed, the routine personnel
actions in PR 2 were approved. (See PR 2 at the end of the Minutes.)

       H.    Amendment to the Governing Regulations (PR 3A)

       President Roselle provided an explanation for the amendment to
the Governing Regulations and recommended that it be approved. Mr.
Jim Rose so moved. The motion was seconded by Mr. Forgy and carried.
(See PR 3A at the end of the Minutes.)

       I.    1988-89 Budget Revisions (PR 3B)

       Mr. Stricker moved that the revisions in the 1988-89 budget be
approved. The motion was seconded by Mr. Clay and passed. (See PR 3B
at the end of the Minutes.)

       J.    Approval of Agreement Between University of Kentucky and
University of Kentucky Student Agencies, Inc. (PR 5A)
       President Roselle stated that FCR 5A is an annual agreement
between the University of Kentucky and the University of Kentucky
Student Agencies, Inc. and called on Dr. Jack Blanton for a report.

       Dr. Blanton gave a brief report on the organization, reviewed
some of its accomplishments, and reported on the successes of its
former presidents. He informed the members that the organization is
now housed in the College of Business and Economics and stated that
the contract allows them to continue with their various enterprises.

       Mr. McCowan stated that Mr. James A. Rose had passed out a
paper about the organization's activity and asked Mr. Rose for any
comments. Mr. Rose added that Student Agencies, Inc. provides many
students the opportunity to find ways to finance their education and
also enables them to remain on campus.

       Mr. Stricker moved, and Mr. James Rose seconded, that the
agreement in PR SA be approved. The motion carried without dissent.
(See PR 5A at the end of the Minutes.)

       K.    Naming of University Building (PR 6A)

       With President Roselle so recomnending, Dr. Pisacano moved that
the name of the John S. Chambers Building be changed to the John S.
Chambers Medical Plaza Annex. The motion, which was seconded by Judge
Stephens, was voted on and carried. (See PR 6A at the end of the
Minutes.)

       L.    Recognition of Visiting Rectors from Indonesia

       President Roselle expressed his pleasure in welcoming and
introducing the visiting rectors from Indonesia.   He asked them to
stand and be recognized, following which they were given a round of
applause.

      M.    Board Appointments, McDowell Cancer Network  (PR 6B)

      President Roselle recommended that Ms. Martha Broadbent, Dr.
John Cronin, Mr. Billy Joe Hall, and Judge Rebecca Overstreet be
reappointed as non-faculty members, and that Dr. Philip DeSimone be
reappointed as faculty member of the Board of Directors of the
McDowell Network for terms to expire on September 30, 1991, and that
Mrs. Marion S. Kenkel be appointed to serve a three-year term expiring
on September 30, 1991. He stated that an additional faculty member
would be appointed later. The motion, which was made by Dr. Pisacano
and seconded by Mr. Wilcoxson, carried unanimously. (See PR 6B at the
end of the Minutes.)

       N.    Patent Assignments  (PR 8A)

       On motion made by Professor Coleman, seconded by Dr. Pisacano
and carried, the routine patent assignment in PR 8A was approved.
(See PR 8A at the end of the Minutes.)

       0.    Report on Community College System

       Mr. McCowan commented on the dramatic enrollment increase in
the community colleges. He also noted the construction underway and
called on Chancellor Wethington to give an update on the colleges.

       Chancellor Wethington reported that enrollment in the colleges
is up another 9% for the 1988 fall semester. He stated that more and
more students are attending community colleges and that there has been
a 33-35% increase over a three-year period. He reviewed the capital
construction projects that were approved in the 1986 General Assembly
session and reported that all projects were underway or completed at
this point. He indicated that the administration is in the process of
planning for new construction approved in the 1988 General Assembly,
and this will allow new facilities at some of the colleges during the
next biennium.

       Mr. McCowan commended Chancellor Wethington on the outstanding
job he is doing for the Community College System and the University.
He spoke about the importance of the community colleges and stated
that it encourages him to know that more people in the state are
becoming interested in higher education.

       Mr. Stricker stated that he started in a community college in
Covington. He indicated that Northern Kentucky no longer has a
community college, and it is really missed. He expressed appreciation
to Mr. McCowan and the members for having had the August Board meeting
in Northern Kentucky.

       Mr. McCowan then recognized Professor Driscoll for the
outstanding job he Is doing at Jefferson Community College.

      President Roselle reported that there must be a deposit for
one-half of the first year's debt financing before the next buildings
can be built. He stated that fundraising activities in the
communities involved are underway, and the administration is proud of
the community response to the efforts of the community college faculty
and staff.
       P.    Capital Construction Report (FCR 1)

       Mr. Forgy, Chairman of the Finance Committee, moved that the
Capital Construction Report for the twelve months ending June 30, 1988
be adopted. The motion was seconded by Mr. Stricker, and it was so
ordered. (See FCR 1 at the end of the Minutes.)

       Q.    Disposal of Personal Property  (FCR 2)

       On motion made by Mr. Forgy, seconded by Mr. Farmer and
carried, the Board approved the disposition of surplus and obsolete
equipment as recommended in FCR 2. (See FCR 2 at the end of the
Minutes.)

       Professor Betts pointed out that a piece of equipment being
loaned to a professor at Western Kentucky for research was a nice act
of intercollegiate spirit.

       R.    Acceptance of Audit Reports for the University of
Kentucky for 1987-88 (FCR 3)

       Mr. Forgy stated that FCR 3 is acceptance of the audit report
for the close of the fiscal year and moved its adoption. The motion
was voted on and carried. (See FCR 3 at the end of the Minutes.)

       S.    Report of Investments  (ICR 1)

       Mr. Hershey, Chairman of the Investment Committee, reported
that the Committee had met and, therefore, recommends that the report
of changes made in investments for the University and its Affiliated
Corporations for the three months ended June 30, 1988 be accepted.
The motion was seconded by Mr. Stricker and passed. (See ICR 1 at the
end of the Minutes.)

       T.    Mr. Stricker Extends Invitation

       Mr. Stricker extended an invitation to the Board to visit
Cincinnati on September 26 and hear President Roselle speak to the
alumni.

       Mr. McCowan stated that President Roselle had been making a
number of speeches throughout the state and praised him for the
impression he is making on the people of the state.
