The Executive Committee of the Board of Trustees of the University of Kentucky met at 2 p.m. (Eastern Daylight Time) on Tuesday, October 13, 1981 in the Board Room on the 18th floor of the Patterson Office Tower on the Lexington campus. A. Meeting Opened and Acting Secretary Appointed Mr. William B. Sturgill, Chairman, called the meeting to order at 2 p.m. and pronounced the invocation. The Chairman, in the absence of the Secretary of the Board of Trustees, Mrs. Betty Pace Clark, appointed Mr. Homer Ramsey as Acting Secretary of the Executive Committee of the Board of Trustees. B. Roll Call The following members of the Executive Committee answered the call of the roll: Mr. William B. Sturgill, Chairman, Mr. Albert G. Clay, Mr. William R. Black, and Mr. Homer Ramsey. Governor Edward T. Breathitt was absent from the meeting. Members of the Board of Trustees attending the meeting were Mr. Britt Brockman, Professor Opal Conley, Mr. Tracy Farmer, Mr. Ronald G. Geary, Mrs. Sally Hermansdorfer, Mr. W. Terry McBrayer, Professor William F. Wagner, and Professor Constance P. Wilson. The University administration was represented by President Otis A. Singletary; Vice Presidents Jack C. Blanton, Peter P. Bosomworth, Donald B. Clapp, Art Gallaher, Raymond R. Hornback, John T. Smith, Charles T. Wethington, and Robert G. Zumwinkle; Dr. Wimberly C. Royster, Dean of the Graduate School and Coordinator of Research, and Mr. John C. Darsie, General Counsel. Members of the various news media were also in attendance. The Secretary reported a quorum present and the Chairman declared the meeting officially open for the conduct of business at 2:02 p.m. C. Minutes Approved The Minutes of the September 15, 1981 meeting of the Board of Trustees were approved without objection. D. President's Report to the Trustees (PR 1) President Singletary reviewed briefly some of the items in his monthly report to the Trustees, calling particular attention to (1) the Armand Hammer Art Collection which will be shown at the UK Art Museum November 17 through January 10, (2) the dedication ceremonies for the papers of former Supreme Court Justice Stanley F. Reed scheduled for 4 p.m. on October 15, and (3) the $404,285 training grant from the National Institute of Aging. The report was received and ordered filed. -2- President Singletary said he had one additional item which did require action by the Board. He reported that a citizens' panel, known as the Prichard Committee, recently submitted its report to the Council on Higher Education on a study of the future of higher education in Kentucky. Among the many recommendations was one concerning selective admissions for Kentucky's public universities. The committee said that the universities should develop admissions standards that would help them fulfill their assigned roles within the state-wide higher education system. The Council on Higher Education accepted the Prichard Committee's final report last week and approved a resolution to seek revised admission plans from all state universities. President Singletary then requested guidance by the Board of Trustees relative to the Prichard Committee's recommendations on admissions. The Chair recognized Mr. Clay who moved adoption of the following proposal: (1) that the Board is in general agreement with the intent of the recommendations, (2) that the administration, with appropriate consultation within the University, prepare a plan for consideration by the Board, and (3) that the administration make every effort to present such a plan to the Board at its meeting on January 26, 1982. Mr. Clay's motion was seconded by Mr. Ramsey and passed without dissent. President Singletary then announced that he would soon appoint an advisory committee, headed by Dr. Art Gallaher, Vice President for Academic Affairs, to develop the University's admissions plan. Other members, he said, will include the registrar, possibly one dean, as many as four faculty members, and an undergraduate student. Every effort. he pointed out, will be made to present the plan to the Board at its meeting on January 26, 1982. E. Recommendations of the President (PR 2) After noting that the personnel changes in PR 2, Recommendations of the President, were routine in nature, President Singletary recommended its approval. Without discussion, on motion by Mr. Black, seconded by Mr. Clay and passed, PR 2 was approved. (See PR 2 at the end of the Minutes.) F. Supplemental Recommendations of the President (PR 3) President Singletary recommended approval of PR 3 consisting of (1) the appointment of James 0. King as Special Assistant to the President and (2) the assignment of rights for Letters of Patent. On motion by Mr. Ramsey, seconded by Mr. Black and passed, the recommendations in PR 3 were approved. (See PR 3 at the end of the Minutes.) G. 1981-82 Budget Revisions (PR 4) On motion by Mr. Black, seconded by Mr. Ramsey and passed, the budget revisions as recommended in PR 4 were approved. (See PR 4 at the end of the Minutes.) -3- H. Interim Financial Report (FCR 1) Mr. Clay, Chairman of the Finance Committee, reported that the Committee met on Monday, October 12. He commended Vice President Jack Blanton, Mr. Henry Clay Owen, and Mr. Eugene Williams for their valuable service to the University. Mr. Clay said the Finance Committee had four items to be presented for action today, the first being the Interim Financial Report for the two months ending August 31, 1981. The Committee found the University to be "on target" and Mr. Clay moved that the report be accepted. The motion, seconded by Mr. Black, passed and the report was accepted. (See FCR 1 at the end of the Minutes.) I. Acceptance of Audits for the University of Kentucky Affiliated Corporations (FCR 2) The Finance Committee, having examined the audit reports as submitted by the firm of Arthur Andersen & Company for the University's affiliated corporations, recommended acceptance of the reports and Mr. Clay so moved. His motion was seconded by Mr. Ramsey and passed without dissent. (See FCR 2 at the end of the Minutes.) J. Acceptance of University of Kentucky Financial Reports and the Report on Internal Accounting Controls for the Year ended June 30, 1981 (FCR 3) Mr. Clay urged all members of the Board to read the Financial Report of the University of Kentucky for 1980-81 which, he said, gives a good idea of the Board's fiduciary responsibility for the University. He added that the suggestions contained in the Management Letter have been addressed and the Finance Committee will continue to monitor the responses and will report to the Board at any time the Committee feels something should be brought to their attention. Mr. Clay then moved that the Financial Reports, University of Kentucky Housing and Dining System Report, and the Report on Internal Accounting Controls for the year ended June 30, 1981 be accepted. His motion was seconded by Mr. Ramsey and passed without dissent. (See FCR 3 at the end of the Minutes.) Mr. Sturgill said he wished to thank publicly members of the Finance Committee, Messrs. Miles, Farmer, Kessinger, and Clay, for their efforts and willingness to spend over four hours yesterday going over the financial affairs of the University. This, he said, is clearly an example of the kind of stewardship that the Board members give to the University. -4- K. Sewer Line Easement to City of Somerset. Kentucky (FCR 4) With the concurrence of the Finance Committee, Mr. Clay moved that the Board authorize the Vice President for Business Affairs and Treasurer to execute the necessary documents for a sewer line easement to the City of Somerset, Kentucky as recommended in FCR 4. His motion was seconded by Mr. Black and passed without dissent. (See FCR 4 at the end of the Minutes.) L.
